by は2つの物の間に何も無い感じで、日本語でいうと「私はあなたのそばにいる」の「そば」って感じです。near と close は「近い」って意味になりますが、near は基本的には距離が近いことだけに使いますが、close は主語や目的語によっては距離以外の「近い」という意味になります。例えば We are pretty close. と言うと、「私達はお互いの事をよく知ってる関係だ」という意味になります。。
TIさんがおっしゃってるように仮定法だと思います。いくつかのサイトにあたってみましたが、過去形を使う理由としては現実に起こった事柄と区別するためのようです。例えば、It would be nice to get a good grade.(いい点とれたらなぁ)と言うと、いい点を取りたいけれど、実際にはいい点を取れてないということになります。現在の自分には到底成し遂げることができないだろうと思うことに仮定法を使うそうです。

It'd beの発音ですが、「tは発音せず」とのことですが、dも発音していないように聞こえます。耳が慣れてないだけで、dは実際発音されてますでしょうか?
It'd be の自然な発音は /ɪɾəd bi/ で、どちらかというとDが発音されていない感じです。早口だと発音されていない時はありますが、普通は口の形だけで息を出さない感じです。あと直前のTがフラップすることがほとんどなので、日本人の耳には「イロビー」か「イラビー」のように聞こえることが多いですね。。

仮定法としての「~だったらいいな」のほかには、丁寧語としての「(相手に対して)~だったら嬉しいです」という意味もあります。イメージとしては仮定法でTIさんが「距離を置いてる」と説明されてることに関連しています。「自分の理想と実際の相手の行動の距離をとる」感じです。。
