As a shareholder, I can’t see how this judge was allowed to do what she did. Unless Elon or the board broke a law then she has nothing to judge. I invested in Tesla because of Elon rather than in spite of him. Elon, in his contract, asked for a percentage of a pot of gold that nobody thought existed, except Elon. He said, pay me when I deliver the imaginary gold and pay me nothing until then. Elon found the gold and deserves what he was promised. This hippy judge should go back to adjudicating the law rather than imposing her whimsical ideas on others.
I am optimistic on the Comp Vote, and optimistic long term. mid-term, it's going to be tough because the judge will continue to try to stop Elon and Tesla.

So, as much as I agree with your noble goal, in the end investing is about return. And IMHO Elon brought a lot of that on him himself. And I as a shareholder am forced to live with it :-)
I suggest there are minimal negative consequences for the Judge, the prosecution and the people that initiated the lawsuit in this debacle. There needs to be consequences when these types of cases are overturned later on by the higher courts, otherwise individuals can be targeted and taken out by the system by these bad actors. There is a need for new laws to protect individuals like Elon and Trump and companies like Tesla.
There are ways to have the judge recalled, which clearly should happen here - but that's up to Delaware. The system has all kinds of tools in place to keep itself clean - but if the people who run the system don't use them, there is no hope. It's ultimately a political and cultural decision we all have to make. After this decision, this judge needs to be recalled, or every company that wants to engage in private contracting and innovation should leave Delaware.

You are a fool. The shareholders voted on this. They wanted to pay for the most talented CEO. The judge has no idea who Elon is and what his talents are. Judge is either stupid or total corrupted. The board was totally transparent. If this judge has the power of corruption, the court system is screwed.
Read her opinion. It's the most activist piece I have ever seen. She literally goes into how much Elon should make, that 20% is enough and "fully incentivizes him" - there is no way to argue that she is not deeply overreaching and thinks she knows best how much he should make. It's completely out of bounds and dangerous for American Pioneers and Innovation.
I did read portions of it - it was very lengthy. I can understand where your opinion is coming from. I happen to take a different view of it because judges sometimes have a habit of including flowery or provocative language in a legal opinion of public significance. Appropriate or not it is not always a plain indicator of bias. In this case she had to review the package for total fairness once she concluded the board violated its fiduciary duty. For me the only questionable aspect of the opinion was the remedy of total rescission (comp totally thrown out). I don’t know enough about corporate law to say anything other than the remedy at least on first impression seemed unusual to me. I think this leaves it where Elon could sue Tesla to get paid some amount of money if nothing is passed.
