Let me guess - it's a Broan?? Nutone, which now owns Broan, makes an identical light/fan unit. Seems like you could use the existing housing and vent tube, and just replace the guts and outer plastic with parts from a new Nutone unit, which generally are quieter. Cost about $35 at Home Depot.
