    I had a client who turned down a $900,000 settlement offer in a contractual dispute, even though I told him that we would certainly lose. We did lose and got nothing. Very sad.

    The FSU argument makes sense. They want the judge to decide that the ACC can't own their rights as a member and a non-member at the same time. If they leave, they want to be considered a non-member. As a member the conference, they also alleged the conference failed their fauducicary duties, which is why they don't get paid more. That makes sense to me too.

      See? The issue is that if Free Shoes U can tear up the grant of rights because they’re not members any longer, then ALL grant of rights contracts are useless, and if those are useless, then why are exit fees valid? It’s like buying a house for $1 million thinking it’s a good value, value drops to $500k so you sell, and tell the bank “I don’t live there! I don’t owe you squat!”

      Not quite - the ACC screwed up when they saddle the GoR to ESPN. If they had used more generic language 'ESPN or any other broadcast partner' then they wouldn't be in a pickle.

    ESPN will not exercise their option for this reason. FSU/Clemson vs UGA, Bama, Texas, LSU, OU, are big time marquee games as opposed to FSU vs Wake Forrest, Virginia, etc...

      @tarheel7406 Renegotiating and renewing are 2 different things. ACC football is trash right now. It will be MUCH worse with Clemson and FSU gone, and they will be gone. The ONLY way to keep them would be to increase their income by $25-30 million per year. Where would that money come from? Certainly not ESPN.

      a) Yes, reneg and renewing are different things.
      b) Measured by the 4-team playoff, the ACC is #3 in football and that is adjusted for realignment
      c) No new BIG12 school has won a football natty in over 25 years.
      d) The ACC is treating UNC, CLEMSON & FSU as gone.
      Again, recent events indicate that ESPN has already assured the ACC that it will renew.

      @tarheel7406 I would feel confident in predicting if FSU and Clemson are successful in leaving, UNC and Virginia won't be far behind. That will gut the ACC as far as football is concerned. I hope ESPN will renew for the ACC's sake, but it's hard to imagine, especially in this climate, that ESPN will pay out the same money for a greatly diminished product.

      @@eddiewaters4383 The ACC's deal is already heavily depleted down to the Tier 2 level. That's what people forget. It's not like the BIG12 was when TX/OK left.
      The ACC would not have added CAL+2 without ESPN approval/assurances. CAL+2 would not have joined without same. Near 100% confident that all of the expansion approvers (including UVA, MIAMI & ND) all agreed to stay through 2036 for those assurances and mutual benefit. That agreement would be in affect regardless of what happens with the litigation.
      Remember that ESPN can just renew without ACC agreement and that the conference below got ~$30M per:
      WVU (small state low prestige flag)
      CINCY (G5)
      UCF (G5)
      BYU (special/unique P5 remainder equivalent)
      HOUSTON (G5)
      IOWAST (low population state #2)
      KSTATE (low population state #2)
      OKSTATE (low population state #2, solid overall sports)
      KANSAS (vanilla flag, blue basketball)
      TCU (G5 equivalent)
      BAYLOR (G5 equivalent)
      TXTECH (G5 equivalent)

    Florida State can leave the ACC and that is in the contract Florida State officials signed when they agreed to join the ACC. Florida State can leave when ever they want just as long as they pay the buy out fee for breaking the contract. Pay the buy out, Get Out, and don’t let the door hit you where the sun don’t shine.

      Weird. FSU isn’t seeking to break the contract but to negotiate a buyout on terms they can accept. Understanding the issue is a good habit to develop before commenting.
      Oh, and they will be gone in the near future. Last year, FSU earned $78-81m for the ACC and got $39m back. After they are gone, what are all the beggars in the conference gonna do, hold bake sales, car washes, raffles where the winner gets to play quarterback in the next game?

    The other schools need to wakeup cut their losses and get out of the ACC asap! Fsu/Clemson has done the dirty work the Carolina schools will stay together and drown in Carolina moonshine! The ship has already left the port prolonging the obvious wont change the final result! The ACC is a dead conference walking!

      The BIG12 is already dead. Under any reasonably prediction ACC depletion, a rebuild is the best option for the remainders.

      What losses? It's nothing out there for programs like Wake, BC, Syracuse, Pitt, California, Stanford, etc. Their best option is the ACC staying in tact.

    I know the ACC thinks it's facing death. But they need to part ways with FSU and Clemson ASAP. And if UNC wants to depart, let them go. There's no benefits to not settling. If they win the lawsuit and those schools have to stay 13 years. It'll be hell for their last 13 years. Which is 12 now. And if they lose, they'll get no money, and everyone that wants to leave will walk for free. At least if they settle, they'll get something.

      They should work out a settlement, expand with Uconn and USF and then work with ESPN on the future media deal.

    So is Florida St claiming they have no agreement with ESPN?That it is tbe ACC that has the agreement with ESPN, therefore if FSU is not a member then the GOR does not apply? Did FSU give the ACC the right to negotiate on their behalf as a condition of membership? This is interesting.

      FSU most certainly gave the rights to their home games to the ACC to negotiate on their behalf as a member of the conference. And the ACC retains those rights as long as FSU remains a member of the ACC. The key here is “as long as they remain a member of the conference”. Those rights do not extend past that point.

      Yes to your last question, but not without each school’s appropriate bodies approving. According to FSU, the ACC gave up the conferences ability to renegotiate and gave the sole right to do so to espn. This is in addition to signing the terrible deal 😂😂

      a) To where is CLEMSON going if just FSU is leaving?
      b) The membership threshold is irrelevant if ESPN can just not renew soon.
      c) Even that threshold just triggers an ESPN election. It doesn't auto-terminate the contract.

    Nobody believes that. FSU own Board of Trustees said that it was $572 million for everything. Furthermore, which conference would want FSU who jsut 'walks away' from their debt obligations? FSU would do the same thing to the other 3 power conferences.

      Sadly, if they could get a guarantee from Free Shoes U to not leave, the Big 12 would take ‘em in a heartbeat. But here’s the thing… they’re showing that they just burn contracts when it suits them, so what guarantee could they possibly give? The B10 would LOVE to be in Florida, so, considering they’re the “ultimate destination” conference, I could see them taking FSU without worry and the SEC knows this and rather enjoys their lockdown on the state with the Gators (let’s be fair, even when Clemson beat ‘Bama, the SEC was never worried about the ACC), so they may make a preemptive strike to keep their lockdown going. I mean, if the SEC could’ve gotten Texas first, there’s almost no question that they take little brother aTm too because those are the two big boys in the state and they knew a lockdown on Texas (despite what the Big 12 and ACC feel) would be a net gain.
      Point is, FSU, Clemson, and NC have enough clout to be wanted and they will be taken so long as NC State doesn’t hold ‘em back (barring the SEC becoming irrelevant to the B10, which isn’t going to happen anytime soon). Will that make the ACC the new PAC-12? Absolutely. Will that make FSU, Clemson, and NC the biggest a-holes since Texas/ Chokelahoma or USC/ UCLA? For sure, but like those other schools, they won’t give a dang. Especially knowing that House vs NCAA is settling and the best way to stay ahead is more money coming in, and the B10 won’t let itself fail and barring a complete breakdown of society, E$PN won’t let the SEC fail.

      And clearly FSU's disputing the acc's interpretation. Because the GoR's language doesn't say what the acc claims.

Where would that excess money go? To the other schools in the conference. FSU wouldn’t be sharing their money, they would be sharing FSU’s money.

    The thing that I keep going back to is, all of these schools signed the agreements. Just because you don’t like the conditions of the contract now, doesn’t mean they will make it easy for you to get out it. I think they should be able to leave, but at a price.

      FSU owes their rights to the ACC while a member of the conference. Once they leave, the rights go with them to a new conference. Pretty simple.

      That is right! If all of the ACC schools are stuck untill 2036 the B12 will easily make triple, or quadruple the money by then! The ACC schools will losse money by then! Not counting Basketball. The ACCs stock is going down right now in every sport.

    The whole purpose of a GOR is to secure the value of the related media deal. The stated term is the max length of the current media deal. If a member could just unilaterally leave, pay the fees, and recover their media rights, that would negate the purpose of the GOR.
    Sovereign immunity would negate/harm FSU's ability to contract in the future, including joining another conference.

      Not correct. The purpose of the grant of rights is to secure exclusivity for ESPN and the ACC WHILE a school is a member of the conference. Once a member leaves the conference, that schools media rights are no longer subject to the attached media deal. I think the biggest issue in understanding is for years the media has described the GOR of being a forfeiture of rights for a stated amount of time, period, end of discussion. That’s simply not how it works. The grant of rights is to prevent member institutions from selling the rights, typically tier 3 rights, to their events outside of the ESPN contract while they are a conference member. This was done to be able to, primarily, funnel those events to the ACCN.
