    Damn! I have been to so many govcon courses, both as a contracting officer and as an attorney, and I have never found such an amazing, concise, and thorough explanation of the subject matter.     Based on the article from the law firm you referenced it seems one of the main exceptions to the Limitations on Subcontracting rule is where the article comments, “Additionally, if the small business prime contractor subcontracts to a “similarly situated entity,” it can actually count towards the prime contractor’s required performance and is considered not to be subcontracted for purposes of the rule.” I take this to mean that I do not need to hire employees if I find other small businesses who can handle the work and I would handle the administrative side of things.

      Sounds like you have a great handle on things: you understand that you are the manager responsible for the contract. I think of it like a General Contractor who subcontracts out the plumbing, electrical, etc., but the General Contractor is still managing the project.

    Hello first of all, i'd like to say you are without a doubt. The best teacher on Government contracting that I've heard as of, yet you are honest and. Just and speak as though you just want people to have the hidden knowledge. That so many of us struggle with. My question is how to properly read and respond to a solicitation on sources sought step-by-step. As you know, these solicitations are different my company needs a leg up.

    It is really weird. I did it, looking for Miami Dade county and it shows a list of "Multiple recepients" without Start or End date. What would it mean? Infinite contracts? Your video is superhelpful as usual!

    So if the only set aside on the solicitation is for Total Small business as long as the subcontractor is also a total small business, under similar situation, they can perform 100% of the work regardless of contract value?

      The contract will specify the insurance coverage required for the contract, and there may be additional insurance needs for your business. I recommend you meet with an insurance agent who is experienced insuring businesses in your industry.

      Read the solicitation! My contacts usually had consent to subcontract clauses, meaning, I had to get approval if I wanted to subcontract. Subcontracting happens a lot in this industry, but you want to follow the rules and be transparent about what you're doing

      I'm referring to the RFP from the Prime. The Prime will issue an RFP and you respond to it. As a subcontractor, you'll be dealing with the contacting office of the Prime (you won't be dealing with the government contacting office)

      Check out the Buy America Act and carefully read the solicitation so that you understand the requirements for the contract that you are bidding on.

    Subcontracting vs Source Sought.
    Thank you so much for taking the time and energy, to break down Subcontracting. I have a few classifications, Service-connected disable veteran female minority. I learned that it may mean something after, I get my Cage Code and complete the excruciating process. I'm new to Government Contracting but, have my eye on a source sought contract for a lot of Fuel. From your video on UA-cam regarding source's sought, it doesn't seem like I will need a CAGE CODE, I have question for the Subcontractor, regarding pricing and a discount. This discount, will count as my COME UP, JUST NEED TO KNOW HOW TO KEEP IN MY COMPANIES POT. From watching your training, I'm able to put together my questions, to ask the seller and the buyer. I will follow your instruction on the cover of the proposal and answer each question as you suggested. Subcontracting vs Source Sought. It appears to be a situation where, I would have to allow one of the two large company, who said they can provide the Millions of gallons of fuel, will have to be the Prime. So how do I get paid? How do I know I can trust them not to go around me. Will my UEI without the CAGE Code be enough to make sure I get paid while setting the Gov up to get what they want.       When you hire a subcontractor, it just means you're hiring a company to do some piece of work. That could be an individual consultant or a large business.

    Correct me if I'm wrong; Professional services is 50 percent, construction is 15 percent(excluding cost of materials) and supplies is 50 percent. This does not apply to contracts under the Simplified Acquisition Threshold of 250K. This does not apply to contracts that are not set-aside for small business. Similarly situated is when the subcontractor is a small business and also matches the set-aside that the contract was awarded under. Similarly situated entities can perform 100 percent of the work (i.e. primed awarded a WOSB contract, then subs 100 to another WOSB)

      What does the solicitation you are bidding on say? Does it contain a Limitations on Subcontracting clause? Does it contain a consent to subcontract clause? look to the solicitation to understand the rules that apply to the particular contract that you are bidding on.

      @@ericc.5460 There are so many different kinds of government contracts, and each has its own rules. So you really have to look at the particular rules that apply to the particular contract that you are bidding on. The good news is, you could apply for five contracts for the same thing and they all could be the same type of contract with the same rules. So, you would become expert in the rules that apply for that type of contract. But please, exercise caution when listening to advice because unless they know specifically what contract you are bidding on, they won't know exactly what rules apply to your contract.

    Question: I am SDVOB and I am looking at a VA set aside for the same. It’s for tree removal. Can I subcontract out the work 100% if it’s under the SAP of 250k?

      The rules that apply to the contract you are bidding on are specified in the solicitation for that contract. Please carefully read the solicitation to understand what rules apply to your contract. Also, even if you were to hire someone to remove the tree, i don't think you would be subcontracting out 100% of the contract because you would still be performing management oversite and contract administration. You are responsible for managing the work and administering the contract; i wouldn't subcontract out that piece of it.

    Once I figure out what NACICO code to use for my company( middle man) how will I apply for the contract if my NACICO isn’t what the contract is accepting.
    You mentioned on the SF-1449 in section 10 the government will list the accepted NACICO code. My business code won’t match because I’m finding contracts in different areas and 100 percent subcontracting the work out.
    Please help!

      You can update your SAM registration to add NAICS codes. I recommend adding the NAICS codes to your SAM registration for the contracts that you are bidding on.

    Our company is bidding on IDIQ Haleu contract for which we are likely to subcontract about 60% of work to a sub for construction of manufacturing plan. Subcontractor rates are a lot higher than our internal rates. What is the best strategy to provide the rates for the next 10 years? Is it better to provide table that lists internal rates and a table that listed subs rates or come up with a table with blended rates for each labor category and escalate for 10 years? My worry is getting disqualified due to rates being too high. Is this something you can provide your recommendation on? Would highly appreciate any insight. Thank you in advance

      Great question. Here's how i always handled this. When creating my list of labor categories, i would always include a few labor categories with high billing rates. That way, I'd have a place to put high-priced subcontractors if they were needed for a particular task order.

      Typically there are no subcontracting limits on unrestricted procurements, but in certain cases there are. You'll find the answer for your particular case in the solicitation for the contract.

      Best practice is to contact each individual Prime Contractor directly. For example, lots of Primes have their own vendor registration systems.

      You can have a Capability Statement for a Team. When i've seen it done, often they'll include the logo for each company to show the team members.

      That's not something you need to worry about. Simplified acquisitions refers to the procedures the government uses to procure the contract. The contract will specify the contract value. That's the number you need to pay attention to. As always, read the solicitation, it will tell you the rules that apply in your particular case.

    So if you ONLY get a sub-contractor(same size company as mine, small) and they bid the job lets say 50k. I submit the bid to the government, add my fee(what would that fee be or what can it be, 5k?) The government will pay me the 50k then I get my 5k....confused exchange of monies part

      You submit Your bid to the government. If you bid $60k and are awarded the contract, then you'll be paid $60k after you fully successfully complete the contract. Be sure to carefully read the payment provisions that apply to your contract, because they differ for different types of contracts.

      If you apply as a sub-contractor you submit a proposal to the Prime contractor who will review your proposal and if approved (depending on the contract because the KO might need to approve the proposal negotiation memorandum) you will be paid as you progress through your deliverables. At the end the dollar amount should equal what you proposed.
      As for profit it depends. Sometimes prime contractors will filter down their profit % as the same to the sub.
