To be fair, both of them were gonna win either way. They had stakes in the company and they were at the end of their careers so a pay out would not hurt them that much. He'd have to start over at a different company for a smaller salary, work his way up again and pray that he lands a position similar to what he had before. Bad times ahead of him to say the least.

Matsson has made a very good offer directly to the board so now they seemingly don't have a good reason to reject, or it would be a breach of fiduciary duty which would lead to them being voted out of the CEO position and sued/prosecuted by the shareholders or the SEC.
Kendall and Roman wanted to tank the deal because they don't want Matsson controlling their dad's legacy, nor do they trust him in general. So Matsson fucked them over by giving them an offer they couldn't refuse, and I mean that literally. The money was so good that had they rejected it, it would have confused the rest of the Waystar Royco members and severely angered their investors and especially shareholders. It was a bear hug, just like the season 1 finale.
