The difference between the two is that the UTAU software is free and vocaloids are released under third party licenses. Teto is one of the more popular UTAUs (along with Momo Momone, the voice the Nyan Cat) thus often getting thought of as a vocaloid. To add to the confusion, to my knowledge, she's the only UTAU thus far to have their song featured in a vocaloid concert. (I found this out a while ago, so this may not be entirely true anymore.) The Utau software became exceedingly more popular due to the fact that people can insert their own voice and use that. There are more and more fan UTAUs gaining popularity as time goes on. I believe the reason they sound so robotic is something to do with the way the voice is edited but im honestly not too sure about that.
