    WHAT HAPPENED?
    Elon is buying Twitter, he's now become the single largest individual shareholder of Twitter (with the exception of Vanguard).
    HOW MUCH IS HE OFFERING?
    Twitter has roughly 768 million shares in total outstanding - if you take that number and multiply it by $4.20 - that’s $3.2 billion dollars. You know you’re rich when you can pay billions of dollars extra just to make a 4/20 joke. 83.5% voted yes - that he should take company private.
    WHO CARES?
    This is extremely important not only because what it means for shareholders of Twitter, and even people who invest in Bitcoin and Dogecoin - but most importantly what it means for free speech. It’s a very interesting story and there’s a lot more to it than meets the eye.
    WHAT IS A BOARD OF DIRECTORS?
    The board of directors of a public company are elected by people who own at least 1 stock in a company - 1 stock equals 1 vote. The board is supposed to make decisions on important things like dividends, figuring out what to pay their senior executives, and of course potentially merging or selling the company. They also have what’s called a fiduciary responsibility to their shareholders. Elon was recently invited to become a board member but he backed out because it would prohibit him from owning more than 15% of the company.
    FIDUCIARY WHAT?
    That means all decisions must be based on the best financial interests of the shareholders. They must consider all options if it makes financial sense. And this is where the story begins.
    HOW COME TWITTER DOESN'T WANT ELON?
    Once Elon rejected the offer, the board of directors responded to Elon with a “limited duration shareholder rights plan” also known as the "Poison Pill".
    WHAT IS A POISON PILL?
    Moving forward, the board voted that if anyone tries to buy more than 15% of their company without their approval, they would allow themselves to create new shares which shareholders can buy at a discount (the only exception being the person who triggered the event which in this case would be Elon). This policy would last until April 14, 2023.
    WHAT ARE THE PROS AND CONS?
    PROS: It prevents an "undesirable takeover", and it opens up negotiations for future buyers to sweeten the deal and offer more money.
    CONS: New shares will have to be created, and if you don’t exercise your right to buy those new shares at the cheaper price, your shares become "diluted" or worth less than they used to.
    Another downside is that it makes companies less attractive to potential buyers because they may not want to deal with the hassle of buying Twitter.
    WHY IS THE BOARD MAKING IT SO HARD TO BUY THE COMPANY?
    That's what Elon's defense is. He says the board is not exercising their fiduciary responsibility by making it harder for them to make money. Elon is offering more than the current value of Twitter which as of right now, is not a profitable company.

    Corrections: private companies do have shares (they just don't trade on a public exchange). They also have boards and shareholders.

    I feel it is naive to imagine that "free speech" is the primary motivation behind Elon Musk's actions. It's almost certainly about the business motives and the potential merger of the cryptocurrency he supports.

    I think it would be naïve to believe that "free speech" is the main reason Elon Musk is doing this. It's definitely more to do with the profit incentives and the possible integration of the cryptocurrencies he backs.

    Twitter should allow people to say ANYTHING… but just like scientific papers, that paper should be citable. The user can’t edit or delete it, they have to keep the post up with the time stamp. So people can have a real track record of their stupidity.

    Correction: one share does not necessarily equal one vote. For example, Alphabet Class B shares, which are limited to Google insiders, have 10 votes each. And Alphabet Class C shares, which are owned by the General Public, have zero votes.

    Andrei i appreciate the detail in which you broke this topic down. You did a great job.
    I personally feel like Elon only likes free speech when it benefits/doesn't insult or hurt him. As you pointed out Andrei, he's been known to "infringe" on people's free speech when it's something he doesn't like, and the example you listed isn't even the most recent or egregious one. Just last year he fired an employee and took away their access to the Full Self Driving beta just because they uploaded a UA-cam video of them testing the beta in the employees personal car and uploaded the video to UA-cam and the video had parts where FSD was doing well and a part where it failed. Blogs started posting about the part where it failed. And Elon punished the employee. The employee didn't actually break any rules. Which is literally the kind of thing he claims to be against. So i do think it's concerning Elon wants to buy Twitter under the veil of free speech because he has a proven track record of being the type to be butt hurt by something someone says and want to retaliate, someone with that fragile of an ego shouldn't be the sole authority behind the "defacto town square" as he calls it. I like what Elon does with Tesla, but Elon is not a free speech absolutist, he's a free speech opportunist. Twitter going private could do some interesting things for crypto if a crypto minded person implemented that, i just don't think Elon should be the one to do it. Especially not for his "say whatever you want, including hate speech, racism, and anything else, long as it's not negative towards me" version of "free speech". I feel like even the staunchest Elon supporters should be able to see Elon's hypocrisy here.

      Valid concern, but here's another perspective: this was a management decision, not an Elon Musk decision. I know Musk can do 30 things at a time, but green lighting the sacking of an employee is probably something he leaves to his management team. He mentioned at the 2021 Code Conference that he doesn't know why there's an NDA for the FSD Beta testers. He's quoted as saying, "we probably don't need them", "they're just ignoring it anyway" and "I don't know why we have an NDA". That sounds like a person who has delegated management responsibilities to... managers. I could be wrong. I sometimes get things wrong and I happily admit that. If you have evidence that he personally authorized this employee to be fired, then that would change my mind.

    Even if you have a company not block any information, there is still going to be mis-information being spread. For example take a look at the scams in most comment sections on UA-cam or even the advertisements on Facebook. When someone wants something they will make their own narrative sound as reasonable as possible to ensnare.

    It is in the interests of shareholders to have directors who don’t own substantial shares in that company. It guarantees more independence, and that decisions are in the best interests of the corporation, not the wallets of board directors. The argument of “alignment” is silly.

      While there is value in having independent board members, having a board composed only or mostly of independent board members does not do much to represent the interest of the shareholders.
      Elon's offer is fair and it's not like anyone else is knocking. The company is not growing and it's not profitable. The current valuation is already stupid high. If I were a shareholder I would be mighty pissed at the board.

    The big question is why doesn’t Elon start a competitor to Twitter since he has an excellent track record of start up companies, arguably that is his forte, plus he has a very high profile and lots of followers and admirers? Conversely Twitter is a loser and May never be profitable.

    Elon is all for freedom... when it comes to Elon. The Free Speech Absolutist is less enamored of free speech when other people use it to criticize, displease or disagree with him. Musk has demonstrated this several times. He wants a platform where he's free to spout whatever he wants with little to no consequence, and for that he needs total control of the company.

    Hmm, I don't buy the "free speech" motive. Like you said, freedom of speech ultimately boils down to laws and regulations, not on who owns one of dozens of web platforms. I think his actions are shady, and real motives hidden.

      Ben Shapiro whether intentionally or unintentionally serves the interests of the extraordinarily wealthy. He is an advocate for the status quo and seeks to delude others into believing that individual rewards are the sole consequence of individual effort. And, that further, we should organize society based on this lie.
      I have enjoyed a good deal of Jikh's channel, but I can't stick around if he's going to cite extremists and perpetuate their ideas. Ben Shapiro is toxic and his ideas aren't worth spreading.

    There is a lot that can be said and done in regards with Twitter, but I honestly don't like giving all of the power of a social media company to one person without some checks and balances. I am mixed on what Elon Musk is trying to do, but the whole situation is a minefield that can become real messy, real quickly. Then again, I really do like how Andrei does his best to be the most informative on his videos and does his best to present both sides of a current event.

      All the other big tech companies are operating as if they are privately owned. There are no checks and balances. They lie before Congress and say they’re a platform, but turn around and every day behave like a publisher. They should be treated like a public utility. Because that’s really what they are. They should not have section 230 immunity.
      Your take is incredibly naïve.
      I would much rather have a proven libertarian like Elon Musk running a big tech social media company then the far left Waco‘s that currently run them, and they are currently illegally unconstitutionally blocking people at the behest of the California government as well as the Biden ministration. That absolutely positively is unconstitutional.

      Twitter just lacks so much in features. It seems like it wouldn't be too difficult to copy paste it. Just make rettiwT and hodl his shares and make the final merger when its bleeding out because there is a better platform (with full integration). Elon has too much money for his own good - throwing it twitter and then shitposting about it loudly doesn't actually seem to meet the goal he states. I think he really wants it because he wants to study the backdoor in twitter, its a larger battle in the cause of free speech. I see it as becoming similar to original Reddit or Discord - can't be banned from twitter just the #"posting about teslas". Part of the point of making it open source - proof that you can't be totally banned from the platform and lose control because people could just host more bird sites somewhere else.

    I'm perplexed about people always talking about "free speech" as it only relates to government entities. ALL companies have GUIDELINES, in one way or another.
    And the most significant explanation for the increase in conspiracy theories is the lack of education, specifically critical thinking, and the fact that everybody wants to have a voice. Since they can't scream any louder, they have to say some ridiculous sh*t to get the attention they crave so much.
    I love Elon, and really hope he just continues to focus on innovation and all the other great ideas he has. That Twitter war he has going just seems so beneath him, to be honest.
    But then again....it's Elon! He may be into something that we simply just don't see.

    a couple issues.
    free speech is a limitation on government, not private or public companies.
    when you create an account on twitter, or any social media, you agree to a terms of service, should you break those terms you risk actions being taken, which you agreed to.
    authoritarian, top down control, is not freedom.
    creating a platform in which there is no accountability or consequences isn't freedom.
