- The NEW and Amended Provisions of the REVISED CORPORATION Law of 2019 as compared to the Corporation Law, BP 68 of 1980.
Included are PERPETUAL Corporate EXISTENCE, No MINIMUM SUBSCRIBED and PAID-IN CAPITAL, Corporate Names, Incorporators now include ARTICIAL Persons/Juridical Persons - Partnerships, Associations and Corporations, Minimum five (5) Incorporators no longer needed plus the advent of ONE PERSON Corporation, Period of Non-Use of Corporate Charter, Delinquent Corporation, Revocation of Certificate of Incorporation, Directors of Corporations vested with PUBLIC INTEREST, Compliance Officer, Election of Directors, Non-Holding of Corporate Elections, Disqualified Director, filling in Vacancies in the Corporate Board of Directors, participation via remote communication and in absentia, Independent Directors, Venue of Stockholders' and Directors' Meetings, Mergers and Consolidations, APPRAISAL RIGHT - Investment of Corporate Funds in Non-Primary Purpose Projects, Non-Stock Corporation but ONE PERSON Corporation to be Uploaded separately.

Thank you po,,,I autoplay the vidoes in your playlist Atty Dean through the TV connected to my laptop, So everyone in the house can listen. The discussions are simplified which really shows superb mastery when someone can simplify complex ideas. Listening to your lessons is relaxing to the ears, I can listen to them all day. My family likes to hear too coz they can learn.

Majority Vote of All the Members of BOD
Vs.
Majority Vote of BOD
Vs.
Majority Vote of Quorum of BOD
Or same lang po ba ang Majority Vote of BOD at Majority Vote of Quorum of BOD?

No, they are not the same. BOD majority Vote means ALL BOD members, present or absent.
Having said that, when there is a BOD QUORUM, they are empowered to decide, with d unwritten premise that the BOD ABSENT members support d Majority Vote.
However, because ELECTRONIC Attendance is now legally accepted, physical presence is no longer needed to constitute a Quorum or even complete attendance.
In d event an absent member learns of a prior Board action, he can always move that d matter be for reconsideration in d following BOD meeting. shd there be a close call to reverse a previously approved BOD Resolution, 2/3 Vote is needed for d Reversal, consistent with accepted Parliamentary Procedures.
