The CISG automatically governs all international sales contracts for shipments from to the U.S. to another country that has also ratified the CISG. The parties to such contracts, however, may opt out of the CISG and choose the law of the seller or buyers’ country to govern their contract. The law that will govern an international sales contract is a critical feature for the parties to understand when preparing the contract, but is a feature that most non-lawyers do not understand.
