In New York, you don't need a registered agent. To form an LLC in NY, the NY Secretary of State must be designated agent of the LLC for service of process. Essentially, this means that the Secretary of State is serving as your LLC's registered agent. Some incorporation/LLC formation companies will tell you that a NY registered agent is required by law; they either don't know the law in NY or are trying to trick you into paying for their annual registered agent service. Even if you hire a registered agent for your LLC, someone can serve process on your LLC by doing it via the Secretary of State. In such event, the registered agent is somewhat redundant. You will need to provide a forwarding address where the Secretary of State will forward papers to in the NY LLC Articles of Organization. This can be any address, even a PO Box. Just remember to check it often so that you don't miss papers with important deadlines. For one of my NY LLCs, I use the PO Box in the post office closest to home and check it once a week.
Thanks for sharing this. I'm in NYC and when I first started my LLC I signed up for the service and haven't renewed it. Just received an email saying that I need to renew or face penalities etc. I just have to file the paperwork to change my address from them for my business. Thanks again for sharing I'll look into this more.
Actually I didn’t. The quote I referenced in the video completely glossed over all the nuances of why a registered agent is important and is telling people they can’t do it themself. I couldn’t disagree more.

I honestly don’t see the use. Wouldn’t late mail that could postpone or place your LLC on hold just be even more delayed since it has to go through another persons hands? Wouldn’t I, the business owner, pay more attention and ask an attorney when needed about these, rather than have someone who at all times could just as easily not see a piece of paper?
Thanks for this video. Should Ialready have a registered agent before I apply for your LLC? Also, would I use the registered agent as my business address for all other things, like on my website?
Jim I am very confused. I want to open a brick and mortar business, but do I need to find the physical location first, then start the LLC paperwork? Or can I start the paperwork, put my own address and change it later once I find the right establishment?
Very helpful thank you. If you just have a holding company that holds an investment in another LLC - Do you see it as pertinent to have a Registered Agent?

Since I am also a translator and have a website related to this field, I would like to include this translation work in the articles of organization as well. Is this doable? Secondly, most of my profits or deals would be with counties, and I believe the best state options are those without annual fees. Three states seem like good options: New Mexico, Ohio, and Missouri. What is your opinion on which state would be better for me? Lastly, if I buy a tax lien and earn interest (income), I assume I will be taxed automatically, is that correct? Thank you so much!”

If you've set up your llc in a foreign state, should you have you registered agent there or at the state you do business in? Also say you have a landscaping business in a small state and occasionally cross the border into another state, do you need a registered agent to do business in that state?
Hi, Always like your videoes. However, I'm still paying a registered agent but I've submitted to change my "Business Address" to my home (office) address for my online business. Do I still need a registered for that matter and should I be using the registered agent's address for client facing instead ? I'm still confused regarding this matter. Thanks
No - they only receive official correspondence for your company. They aren’t a substitute for a mail service and you should not use your registered agent as your business address.
This video is great, very clear-cut and great info. It gives me peace of mind, as I had most of these pros and cons in mind when we registered LLC last month. -Luis Huang CEO Fat Cat Productions

If your holding company is an LLC or a corporation then it must have a RA.
Great Video and Information that I was totally unaware of. Thanks Again

If you have an LLC you do!
Is there a reason or a way to do this if you are a sole proprietor?
No.

If you live in California, why is your LLC in Nevada? Do you have a foreign entity established in CA?
Thanks Jim - so the risk is not receiving important notices. What are the common reasons these wouldn't successfully make it in the mail?
Jim do you have a recommendation for a great registered agent service? I'm in Michigan by the way.

Lawsuits, subpoenas....? Sounds routine, so why would I want to start a business?
If I just filed my LLC but did not have an agent so I did individual, can I not change this later? If I still do this?
does this apply for person trying to start e-commerce too? 😅
So when they ask about the business address can you add the registered agent address?

Hi! Great questions. Unfortunately I can't provide legal advice here, but feel free to schedule a call with my office.
Am I able to change my registered Agent afterwards? I already have my LLC set up with myself as the Registered Agent

Can I hire a registered agent later when the business starts making money to pay for it?
Yes - you can hire one whenever you want. But I typically recommend getting one from the beginning.
Do I have to renew my registered agent every year?
Yes
I have one but he can not do anything for me

I had someone tell me that hiring a registered agent could “pierce the corporate veil” of an LLC. Is that true?
Um, I don't think so. Was this a lawyer that gave you that advice?
what city are you in
So many reasons to use a registered agent. USE ONE! Trust me!
The State of Texas doesn't allow you to be your own RA in an LLC.
