    They are old tax of 30% which they are currently paying compared to new one ,so if they pay 30% the taxable incomes is more and overall profitability is decreased and that which they are going to give us in form of dividend so.. we will not be taxed but we will revieve somewhat same amount if they had gone for new tax . So overall I think it's same whata are your views Ma'am???.... I would like to hear from you??

      No it won't be like that
      Example you took a home and your made agreement with owner for 5 years rent and your arrange full of furniture everything
      And suddenly your went for deputation some place will for a period of time
      Then what would you do ?

      Yes..Correct and you can expect Only dividend from this ipo so if no rent then no dividend and long term holding is 3 years as per tax exemption.

      For REIT long term period is 3 years. Of you sell before 3 years you attract short term capital gain tax and if sell after 3 years long term capital gain tax.

    Hi Rachana, Though WALE is 5.8 - Could the occupants be raising 'force majeure' in these times and hence the reason for this REIT at this time! This is not a debt and hence they don't have obligations to raise a profit and our money might be held captive for next three years right? Can you please clarify if this fear is valid!

    Please clarify that, this investment has lock in period of 3 years or not.
    I could neither get it completely at 10:20 nor came across any similar information on internet.

      Not a lock in period as such, but if you sell the shares/units within 3 years, you'll be incurring STCG tax. I think 15%. After 3 years it's LTCG tax.

      At 10:25, she wanted to say that if you sell your holdings in less than 3 years period (in cases of RIET's), than it would be treated as STCG (Short Term Capital Gain) tax (i.e. 15%) for taxation purposes and if you sell your holdings after 3 year period, than it would be treated as LTCG (Long Term Capital Gain) tax (i.e. 10%) unlike in the case of stocks.
      And it does not have any Lock-In period.

      No lock-in for investors. The point is that Mindspace has to keep one unit in their portfolio for at least 3 years, means they can't keep flipping the properties the REIT owns. This is to ensure the point of 'steady income'.

    Calculation mistake.ipo price 300 and minimum units 200. So 300*200 = 60k and above as per 10 months ago while this video was recorded.

    8386.8 crores is total liability (current + non current).
    1000 cr is what they can put to clear liability
    still 7386 cr liabilities

    Why the dividend related details are not available in Moneycontrol app?
    What happens to dividend if company books loss?

      If the expenses (such as property renovation and others) are greater than the rent collected, then you as a unit-holder won't be receiving any dividends for the current year.
      But You will receive the rents in form of dividends whether or not the company makes a profit (in terms of capital appreciation).
      Unless in a case when all the existing tenants defaults which is next to impossible given the current situation of 172 tenants.

      @@theonepercenters3212 Do you mean that no matter what (unless all renters default) the dividend will be paid out? And then based on the profit from the operations of the company, additional dividend can be paid out?
      Additionally, would like to know what could be the percentage of the dividend paid out? In a good case, with slight affects from COVID and assuming rentals are going on pretty good around 75 percent of their properties are occupied etc. ? I am trying to understand how much dividends are we talking about here, if I get 200 units of the REIT after the IPO?

      Ans as per the Indian Laws for RIET's, a RIET is only liable to pay 90% of profits generated through rent collection and i am assuming that the profits generated through other operations would be used to buy new properties which will further increase the unit price of the RIET.

      You can even file for IPO on the last day and it's not first come first serve basis. So relax and apply on the last day. Units or shares are allocated on pro rata basis after subscription period ends.

      Generally most of the companies paying divided yearly. But there are some good companies also and they are paying interim dividend regularly. So there is no limit regarding payment of dividend on annual basis only.

    Now a days software company is giving preference for WFHome therefore maximum companies will not prefer to have offices on rental basis.i fill that this IPO will not be performed? therefore concept behind this IPO may not be able to performed.

      WFH only enables maintaining non-intrinsic operations. Finance and customer centric operations cannot be held from home. Imagine the finance system like banking from WFH or operations like mF or Stock exchanges WFH. You'll be prone to hacks. Only service centric businesses can WFH.
      Moreover new business tech is so confidential that they cannot be controlled WfH.
      WFH is not a new concept it's being happening for the last 10 years. Got highlighted now.
      Giving an example... during this lockdown I've not had a single day off. Have been going to ther company everday while my colleague in fresh leads has been WFH. For that he never required to sit even on his seat in office pre Covid.
      Imagine banking and finance... airlines... rail.. power... other sectors doing WFH. DHO YOU BELIEVE they've been working from home? DO you think employees believe WFH is comfortable? No.

    At the moment the share price is at an all time low -₹319..post covid is MIND SPACE REIT a good investment or not? Also have you invested in a REIT? Have you made a profit? And how much?
    And good you also brought up work from home as a risk factor. That is what I was wondering. How will this affect REIT in the future? A lot of companies save rental money , electricity bills, travel allowance and there is no such usual work time like 9-5. A lot of us are working overtime for the same salary. Is it a good time to invest in REITS?
    And the most important: "They MUST pay 90% of their Taxable Income." What if they don't pay and run away like Nirav Modi or Vijay Mallya? It is a trust. No individual can be held responsible or neither their properties or assets can be seized to pay back the investors.

      They are investing our money and giving us rent.. not that they will not take anything from us.. like MF takes money charges us a small fee..they invest our money for us.. and not grow by taking our money but the fee.

    Very nice Introduction..... I am new and very small Investor... Iam In HP Laptop service center Hardware Engg.... So I am talking about this Mind space Reit, before "corona" I am going to many (Daily) times Airoli (East-West) mind space as a Capgimini, Accenture, Wipro and some of companies... work to Warranty HP Laptop Services..
    So, I like This IT park, Business park & most Important This IPo 's chance to this some of commercial area's Partner as a Investor model.
    Such, Iam a Middle class and not a high.. cash and never real property.. so I can Participate this IPo..reality Now My bank balance 75k, but nothing any tension and position to long term.
    Can I good think as a my money balance.....

    Lets say we are owning all these, got a chance to buy as whole. With covid and WFH going on right now would you buy the business now? I cant. Each share should be thought like you're buying the whole company while taking the decision if we're buying it when its expensive and not bargaining just like we do while buying apartment or a land. Yes these are long term contracts but someone's going to lose in this malinvestment baring the losses. Its a big risk currently with covid in all commercial realestate. If not taking losses due to contracts in rents, there is no way they're going to expand business for 2 yrs down the line coz nothing renews and some will come to expiry.
    Maybe if its sold at a significant discount i might think. These days business know these very well, they want to launch IPOs and reduce their holding on stock pass that losses part to retail investors. IPOs are not a good investment these days.

    You forget one important point to discuss, which is dividend yeild. This reit is having a dividend yeild of 3.5% which is very low.
    However post ipo and in f.y 22 it is claiming that yeild will increase to 7.5% were calculation for such basis of estimate is not present in public.
    Also in your video the avg lease period is 5 year but in future if work from home is encouraged co are entitled to break the lease agreement prior to the expiry as well.
    Please enlighten on above issue raised and do conclude whether it is worth to invt in this reit or not?

    90% of taxable income should be distributed to unit holders.
    But if, heavy debt is there in balancesheet and no net income positive, it means no dividend?
    That is case if Brookfield ipo today.
    It's open.
    So kindly include this point in ur Brookfield ipo analysis and mentioned my name...so i will be happy.😃

    The first Reit listed is Embassy group and you know how much it's dividend yield is 1.17 only till date ..and you know what's Nifty's dividend yield? Do you know Embassy group has largely acquired sr.fit area ? And what is the sureity this group will announce good dividend?
    Real estate story is done..
    Lots of IT parks are empty..if
    Work from home culture will be getting adopted by all major IT giants..so income kaha se aayega?
    MKT is hot so this guy has come to garner money I think.

    17:43 for two years 18 and 19, they have shown zero "Cost of work services" . Meaning they deliberately delayed payments of vendors for two years so that they can show profits after tax.

And what u said is horrifying , any company not showing their debts just to give a sugar coated picture , is not good. How to identify that kind of practise as a retail invesot

      @viren not necessarily, there are n number of ways you can go around that. Also if you read there are some comments by their vendors where they say for two years they didn't clear payments.

    I don't support in buying this IPO. Companies like TCS and many other IT companies are planning shift culture to work remotely by 2025 as vision. Because of WFH culture shift, supply of real estate building remains huge and demand is less, thereby, price will come down.
    If company is making net loss with our funds of investments, the how can they pay dividends???
    My view is to invest in business which is stable for long years (next 5 years).
    Even though if shares bullish after listing, I don't bother about it.
    I am also a big fan of you. But nowadays, your research & videos seems bit biased and marketing oriented.
    Please teach us how to make plan investment strategy and make more videos on personal finance too.

    This is a minimum investment of Rs. 50,000 approx. We as investors must be cautious as well as skeptical. When I read about this REIT offering, I have a few questions: Why an IPO now out of all times? Why would a real estate firm need Rs. 10,000 million now? Aren't there real estate projects at a standstill all over the country? Does SEBI really monitor how the proceeds are utilised? Doesn't this feel like a front to siphon-off money to bail out long dead projects? With these thoughts, I wouldn't take such a risk of a huge proportion.

      No, the REIT has to hold an investment for a minimum of 3 years. That is, any property they but should be held with them for three years before they can sell it.

    Despite wale being 5.8 years, the tenants are free to exit/surrender space if lock in has expired.. The REIT RHP does not mention anything about that, and that is a significant cause of concern. Given what is happening across markets including absorption down by almost 50% this year and termination across India to the tune of 11.5 msf across India in last quarter. the portfolio is likely to see significant stress. I will not recommend.

    Some good points which I like abt the channel:
    1) Presenting complex points in simple language which even a beginner can grasp
    2) Using text and Images wherever required and not just using audio (sometimes audio get missed but having a text of it in the side helps to catch up w/o having to rewind the video)
    3) Trying to cover as many FAQs as possible which can come to a viewer's mind.

      💯 percent bull-shiting ( Real intention is really doubtful) ...........After you buy, Tomorrow morning this lady shouldn't start saying you should not invest on this (as per her previous track period) ...Definitely it's not ideal time to buy Mindspace ipo esp at this point of time ... During lockdown lots of small medium and large companies shut down their operations , offices ( even nike, Reebok) and stopped paying their rents ...
      Real estate is the last thing to invest at this point of time....
      All Mindspace customers like Accenture travelex Capgemini Syntwl BOA, eclerx, JPMC TCS Wipro hcl have also told their employees ( huge no of employees) to work from home.. then what's need of having big office in an IT park??
      You are not investing your money only for Dividends ..right ?? dividends are only a small portion... then you can invest all those Govt companies which are giving less return and good dividends? Why Mindspace real-estate IPO???
      Keeping all these pointers , if still anyone suggests to buy , then the intention is highly doubtful.. .Also please note that lots of youtubers, influencers are getting funded from companies to promote their brands,products etc
      Hence be alert ..dnt fall prey for these influencers who made their money like this .... Whatever loss happens mostly in trade market are from the retail customers ...so it's your money 💰 , be watchful ..rather you can invest in any suited IT companies ( TCS ,Mphasis , Persistent tech Mahindra etc) for next 3 -6 months ...

      @@digitalganguli To your last point on IT service firms, all they provide are facilities for offshore development center and branding. Most hardware and software license are paid by overseas clients. These service companies may also pay for travel and external accommodation. Typically, labor accounts for 40 percent of cost. The service company keeps 60 percent and then they hedge the currency in foreign markets as their inflow is in dollar/euro and labor outflow in rupees. Why are you so charmed by the name? There are some differences in nature of labor and capital in various service firms which range from around 30 to 210 dollars giving different branding. Many employees of such firms like to go abroad also. Further, these service companies obsessively collect data to improve margins. You may have to enter timesheets in 3 to 4 places just for a single piece of work. Even top management had to submit timesheets. A little bit too much. Also, these companies are very cash rich. They sit on tons of money if you look at their balance sheets. Some companies even stop serving coffee at 5:30 PM.

    Please don't throw away your hard earned money in gutter.
    This is an IPOs brought by Brookfield whose prime motive is to make fast bucks by financing & in lieu of such financing/investing in new or startup companies to seek equity participation (towards amounts financed) and then to compelling company management to help them get out of the company at excellent premiums by forcing company to go for an IPO wherein a part of the offload of shares happens by investors like Brookfield, thus making a huge killing in the process.
    Firms like Brookfield don't have interest in the long-term performance of the company, as they simply offload their holdings at appropriate time and move out with huge financial advantage.
    Please stay away from getting involved, through investment in such an IPO, if you are not a trader but a genuine long-term investor.

    Thank you for the review.
    Recently, during a conversation with a friend of mine, I was told that the MNC he is employed with shot down the plan of shifting to a newer office in spite of the fact the business had paid booking amount. The business decided to forgo 15L in view of new norm (WFH). I'm sure all the contacts would have termination clause and if things worsen businesses will try to exercise it. Personally, I feel this is a risky affair in the current condition.

    Hi mam, I am trying to buy the mindspace shares. Sadly shares weren't alloted in ipo. But when i am trying to buy shares, i receive the following error : rms rule assigned basket for entity account across exchange across segment across product. I am trying to buy 200 shares but with no luck. Can you please tell why this is happening? I have tried researching on google but nothing relevant comes up. I know this will go unanswered but this is the only place i have hopes of getting an answer.

    Why should it own only commercial buildings. It could include individual houses also where lot of people live in rented houses. After covid IT companies realised they don't need big buildings lot are working from home . It may be the future.
    It's riskier investment.

    I understood it well, but I have a question where the tax on dividend is discussed. As ma'am mentiond if the company has opted for old tax regime then we as an investors does not have to pay dividend tax, but would't it be the same case as new tax policies. I mean, as per old tax company must pay 30% plus others and in new ~25% from company and others by us as we are getting dividend. Either way we if company is getting less out of revenue the profits will also less and so is dividend....

    With WFH demand for office space will decrease , no point in investing in office spaces. As also 5.8 years of confirmed occupancy will have termination clause so no guarantee that office space will be occupied for next 5.8 years.
