  • Non-Disclosure Agreements (NDAs) for App Development (The Daily Overpass #203)
Today, I go visit a client, but I can't talk too much about that. I'm under NDA for all my clients. Today, I talk about my thoughts on this and ask you what you think.

    So...
Are you new here? I'm glad you showed up.
I'm Eric Wroolie. I make apps. And I run Overpass.
Overpass is a mobile app development agency based in Oxfordshire in the UK. I started it back in 2004 before there were even app stores!
Now, the company is myself and a small team of designers and developers. We outsource what we can and try to keep costs low, but I still code here and there.
My apps have been downloaded tens of millions of times globally and I have lived the ups and downs of being an app developer.
I started creating videos back in 2014 and have created over a thousand videos since. If you can't tell, I can talk about apps all day. We also talk about running a small business and self-improvement on this channel.
If you need an app created, my company can help you.
    Or...
If you are an app developer, like most of the viewers on this channel, I hope our shared experiences will help you out too. There is nothing more satisfying than making money from apps.

Being asked to sign a nondisclosure or confidentiality agreement isn't a sign of mistrust; it's just part of doing business. In fact, as you navigate both business and legal situations, you'll likely find that nondisclosure agreements (NDAs) are fairly common in many business settings. Confidentiality agreements and NDAs offer the most surefire ways to protect trade secrets and other confidential information meant to be kept under wraps.

As a rule of thumb NDA's are often red flags for me. If all you have is an idea and an NDA to protect it, then chances are you shouldn't be talking to a developer yet. To even consider stealing an idea, you'd have to be ready to give up paid work, develop the app yourself, for free, and spend money on marketing and the like - unlikely if you're a one-man-show paying the bills or an SME. Such clients overestimate the importance of 'The Idea' often to the detriment of marketing, or even the business model, believe that "if you build it, they will come" and when, inevitably it all goes pair-shaped, they will blamestorm everything other than their idea or judgment and that will likely mean the developer.
Now, I'll still sign it (unless it's one of those nuts who hands you a 16-page document), but it'll be more likely that I walk away after that meeting when I discover they've not thought things through yet. Let them have their security blanket.
As a caveat, there are cases where an NDA are not a red flag. A game idea, for example, where the developer already develops and publishes games merits an NDA. Also the NDA may not be the potential client's idea - many investors and VC's require that their investments use them.

I always make developers sign NDA's, just for peace of mind if the developer goes off running with my idea's and it becomes a hit then I have at least something to sue on. Rather than skype message history lol.

you mention your eye spy app, do you have like a top ten of your apps, and if its not asking to much how many do you have out there at the moment. I am trying to work out how to manage mine effectively as I am making them but without a real serious thought about managing them afterwards which is a mistake. Kinda feel likei am playing catch up just with the small number i have

Hello, since January this year I have been in the process of making my app. I went on the platform "Bubble" and have been in the process of setting up meetings with a couple developers for my app idea. I have been wanting to bring up an NDA but should I wait till I have my meetings afterwards or should I ask for an NDA before the meetings? Even if we don't do business could I still have the developers sign an NDA?

Do you sign the NDA first thing? Before the idea is shared in full detail? Thanks.
