Freshworks has stopped giving employees esops for quite some time, and going by that logic, its doubtful if they'll give RSU's to any new joinees either. Regardless it is an awesome firm and a great product indeed.
How would then the overall compensation breakup would be to be lucrative enough to choose it over some product based company ?
I don't think so that will happen. For a company it is always easy to give out RSUs rather than cash. Hence you will see most of the big tech have a rsu heavy compensation and the same will be the case with Freshworks

What would you suggest if it's an early stage startup ? for it going to ipo would take a lot of time and that would be a very long term commitment which I am not sure about. What is your take on this? Any insights would help. Thanks

Thanks for the detailed explanation. I have couple of questions. Please help me by answering them
1.) So, let's say an Employee joined a startup on Oct 1st 2021 with the company providing 2000 ESOP's which would be vested over 4 years (25 % per 1 year). So, after Oct 1st 2022, Should/can the employee buy only 500 stocks with the strick price as of Oct 1 2021 ?
2.) What would be the scenario in case of resignation ? Assume the company does buyback twice in a year. If an Employee resigns from the company while the buy back is not happening then would he/she be allowed to sell all his/her stocks and get back the cash ? (I know it might vary from company to company but in general what would be the scenario ?)
1) Yes that is correct. In case of esops, instead of vesting date, there is exercise date. Before which you need to exercise your option. Meaning buy the share from the company at the strike price stated.
2) Generally no. But sometimes companies do buybacks for ex employees as well. Totally depends on the company.

Not every other start-up will list . Your ESOP will never make It if the companies start performing bad etc.

Do companies give ESOPs for all positions(including freshers/entry level) or only to senior positions?
Yes they do give. But it depends from one company to another. For example inmobi, flipkart etc. Have esops even at the fresher level.
This is very company dependant though.

One question, 7 lac worth of shares is valued on what date? Is it the date at which the company grants the shares (just after joining)?
Or does it mean, say the company's strike is ₹100 at which the employee can purchase, so company offered 7000 esops (7lac dividend by 100)?
No. Valuation depends form one company to another and how they choose to calculate them. Mostly it will be around the date of Joining of the employee.
So you will get 7Lkhs/FMV number of shares to be purchased at SP.

What will happen in the following two scenarios
1.Employee left the company before the company got listed and say company promised 10 lakhs of ESOP at joining so will the employee get the money?
2.If an employee feels after joining that the start-up may not get listed in upcoming few years can he get a buy-back from company at his will and get the money back?
1) No the employee will not get the money. As said you need to exercise your option before a date otherwise your options will expire.
By exercising here I mean you would have to purchase it from the company at the strike price before the date. Even after leaving they will still be yours.
2) No that will not happen. A buyback can happen if the company wants to. Otherwise there are many such other companies which offer some services to help you. 😊

Flipkart is really grown startup for since last 6-7 year still they haven't announced IPO so I think we cant judge by seeing the quality product of company having like (xyz company have good product so lets join this company as after ipo we can make a lot)
That is true. But they will be announcing their IPO, this year or next year Q1/Q2.
This is normal for a startup to not ipo for 10-15 years as long as there isn't any dearth of funds there. IPO, is initial Public Offering, where companies try and get public to fund some part of the business with allocating shares.
With its exit to walmart, there was no need of an IPO there. The valuation of the business rose and hence the value of the ESOPs given. Flipkart, regularly does buyback and buys it's esops back from employees/ex employees alike.
