Hello. Of course, primary source always, the law. As for the cases, too long to type here. For the commentaries, depends - for the old law (BP68): Timoteo Aquino, De Leon, Miravite, Villanueva. For the new law (RA11232): Timoteo Aquino (the thin one, I think he has a new one, but I've hardly gone out of the house since the pandemic so I'm not sure), David Robert Aquino (Central).

Sec. 49 refers to meetings of stockholders or members, which requires 1 week notice. Sec. 52 refers to meetings of directors or trustees, which requires at least 2 days' notice: "Meetings of directors or trustees of corporations may be held anywhere in or outside the Philippines, unless the bylaws provide otherwise. Notice of regular or special meetings stating the date, time and place of the meeting must be sent to every director or trustee at least two (2) days prior to the scheduled meeting, unless a longer time is provided in the bylaws. A director or trustee may waive this requirement, either expressly or impliedly."
Sir, question po as to the difference of: Majority Vote of All the Members of BOD Vs. Majority Vote of BOD Vs. Majority Vote of Quorum of BOD Or same lang po ba ang Majority Vote of BOD at Majority Vote of Quorum of BOD?

It will really depend on the AOI and/or BL of the Corp. Majority of the BoD can be construed to refer to all or a quorum. And definitely, majority of all is different from majority of a quorum. The only way majority vote of BoD can be construed in the same way as Majority vote of the quorum is if you presume that the former contemplates a quorum.

Hi attorney! You mentioned at least 2 days po sa special meeting. Nakalagay po kasi sa book ko sa corpo law is one week written notice sa Sec. 49.
