My QUESTION is. If he would be making more money in 4 years if he kept the business than he would 4 years after selling it, what would motivate him to sell?
FYI, the Seller might just want out or move on to another business or retire. Watch Codie Sanchez videos, she talks about how there's an increasing number of folks that own highly profitable businesses that are ready to retire, and their family (siblings or adult children) doesn't want to run the business either.

great video thanks Carl. One question, please. If you need to put $200,000 in surplus cash into the business, this must be for working capital right (as the seller will take home any surplus money upon closing)? So if you use this money - as I think you suggested - as cash for the closing payment, you would leave the business without any working capital?

??? There will be some owners who are ready to walk away... they don't want to run/operate the business on a continuous basis - so they sell. Some of these owners have no family who can inherit the business, some owners will have adult children who don't want to run a business. These are motivated Sellers.
What would a valuation based on DCF be çole in this scenario????????????????????????????????? There are at least 3 ways to value a business.

Confused. My understanding is EBITDA doesn't include an owner's/manager's salary. SDE is EBITDA + one owner's salary. And while I'm no expert I have worked with a few brokers who always use multiples of SDE, not EBITDA, for companies in this revenue range. The CIMs I've seen all list EBITDA and SDE and price at multiple of SDE, not EBITDA.
