Crazy, I work in fund administration and was expecting a very generic video. Spot on, one of the funds I actually administer is a Portuguese Almond Farm ha
:)
Nice overview. In addition to the GP having more say about how the fund is managed, isn't it true that the GP also has more risk exposure -- i.e., some LP agreements may require that the LPs are made whole before the GP is (in the event of a bad investment)?
Yes but the GP generally has much less invested than the LP's
I'd love to buy you a beer 🍺 Thank you. Truly, I appreciate the information.
I'll never forget the debt I personally owe you.
I don't drink but you can get me a Dr. Pepper! hah appreciate it!
My God!! This information is golden.
Much appreciated 💯🔥

Question: Major piece left out... or maybe I missed it.
Do I set up a GP LLC & another company ... LP for the partners/ investors put the money into....?
How does the GP co manage the LP legally ...? Is it just in the “rules “ of the company’s
In my example the GP is an LLC that is the general partner of the limited partnership. It is the managing or general partner of the LP. They aren't separate entities.
I definitely wanna start my own pe fund but I think I need more money flowing personally for me.
Eye See Now I don’t think that’s true necessarily... check out www.investmentfundsecrets.com, it’s an in-depth training on how anyone can start a fund very lean!
Does the GP needs a license (Serie65 or Serie7) ?
How often do the LP's get paid? (say on a 5 yr fund) example: First year you are buying real estate (maybe improving) and then selling (maybe second year) so, first year no one makes any money right? (in your structure with no mgmt fee) when you make rent or sell do the LP's get paid then? or is it all at the end? If the first year LP's make no money yet, are they OK with that?
That would be in your fund agreement documentation. You can set it up any way that makes sense to the fund.
If you're going to limit your investors to accredited only then why not do a 506 (c) and then be able to advertise your fund beyond prior business relationship clients?
BEST PE CHANNEL!
Thanks homie!
Very helpful, any recommendations for creators that cover this topic for Canada?
I just started my 2nd channel today. Covering exclusively private equity, primarily equity crowdfunding.
Can the fund invest internationally???
Is it normal if private equity is exiting fully (a 20% stake) after a five-year investment through IPO route?
Yes, it just depends on the investment criteria and plan for that specific fund
What is difference between an LLC and LP
LLC is the corporation under which you can file a company, fund, group, etc. An LP is a limited partner, or someone who subscribes to your fund.
@@bridger_pennington so is the LP the fund or is the LLC the fund?
@@bridger_pennington sorry I’m confused. So there a three entities? The fund, the LLC which manages the fund and the LP for all the investors?
Really informative video. Thanks for making this.
Glad it was helpful!
Is there any upper limit to the number of lps? Thanks in advance
Hey Dishant - we talk about all of these things in our Mastermind - but Yes, it depends on which exemption you take. For example if you elect a 3(c)1 vs a 3(c)7, the former allows up to 99 investors, where the latter allows 1,999 investors.
Excellent explanation!! Thanks!!!
Great vid, but man that's an ominous sounding background track
Hey does this stuff apply to UK funds too?
Same concepts, laws are different but similar
@@bridger_pennington what about not charging management fee to private investors but only a performance fee in the UK? Or are the FCA mkre strict ?
Given the ad saturation that this guy has on UA-cam I've come to the conclusion that his 'funds' only exist to promote what amounts to his self help scheme. No chance that a majority of his income comes from funds.
thanks bro
Great video!
Thank you!
nice vid
Thank you!
The background 🔊 makes me want to sleep
It's supposed to be a brainwave frequency to keep you awake and active (I guess it didn't work on you haha)
