- Elon Musk - The world’s richest man has allegedly hired the investment bank Morgan Stanley and is trying to gather financing, so he can buy Twitter for $43 billion.
According to The New York Times, Musk is evaluating various packages of debt and a loan against his shares of Tesla. Apollo Global Management, an alternative asset manager, is among the parties considering offering debt financing. The equity he needs is likely to be sizable.
Last week, Elon Musk, made an unsolicited offer for the social media company, saying that he wanted to take it private and that he wanted people to be able to speak more freely on the service. But his offer was regarded skeptically by Wall Street because he did not include details about how he would come up with the money for the deal. It is unclear if Elon Musk’s cash raising efforts will be successful.
While Twitter’s board has not rejected Mr. Musk’s offer, it responded days later with a defensive tactic known as a “poison pill.” A poison pill would effectively prevent Mr. Musk from owning more than 15 percent of Twitter’s shares. Musk has been building his stake in Twitter since January and owns more than 9 percent of the company, making him at one point its single-biggest individual shareholder.
In today's video we look at how serious his bid is, the likelihood that he will succeed in buying Twitter, How the financing might work, and how poison pills work in blocking corporate raiders.

Joking about all the things he invented, and then referring to him as the "founder of PayPal and Tesla" is such a neat trick. Paying that setup off after almost 20 min also puts a lot of trust in your audience's patience and attention, and I appreciate that.

Actually, I'm re-watching this video for laughs. Watching Musk pay Twitter shareholders a huge premium in a falling stock market for their shares and then proceeding to destroy the company as fast as possible is popcorn worthy entertainment. I expected nothing less from the inventor of sliced bread and indoor plumbing. 🤣

People just act like he draws up the design for Teslas new products on the back of a napkin, and then hands it off to lowly employees to do the rest. It takes thousands of people every bit as sharp as Musk to achieve anything they do, which is why Musk handles the business where the fat money is at. Labels. Pigeon holes. Elon is easy to hate because he's missing something that other people take for granted. Some people say empathy, humility, discretion. Asperger's, autism, whatever.
Certainly timing and semi stuttering when speaking shows something is off.
But I've come to believe he understands that history will ultimately judge him by his actions, and the actions of his companies.
And he wants to change the world. That necessarily requires working in areas that greatly impact society, and doing it successfully necessarily generates wealth and power.
Do I cringe every time he has the hubris to say something like "Free speech is important for a functioning democracy, therefore I think I need to take Twitter over to try to bolster the safeguards in place"? Yes. But after holding TSLA for 8 years, I've come to believe this is actually a likely outcome.
Actually I feel Patrick and Elon share some personality quirks, but where Elon's speech timing is stuttering, Patrick's is perfect.

Maybe not you, but the general public thinks he's Tony Stark. They think he invents technology. His money kickstarted two companies that invent technology. And those companies are much bigger than him. I never even said I have a problem with him. I have a problem with how the public perceives him. And I have a sever problem with people hitching their hopes for a green future to one person no matter who that is. Last thing, while operating electric cars is clean if you have clean energy, making them is dirty and not remotely sustainable. The same can be said of his solar company dirty manufacturing. Interestingly 420 has a completely different meaning in India. It is considered an insult if you call someone "charso biss” (hindi for 420). 420 usually refers to a shady person it's origin has two theories 1. It's a reference to the classic 1955 Bollywood movie Sree 420

I'm also working on a pedaling system like an exercise bicycle that connects to the charging system, so you get exercise while driving and a longer range for the car, too.

A minor point, but if a shareholder has a 15% share and the other shareholders receive one additional share for each share they hold then the shareholder's stake will be reduced to 8.1% not 7.5%

Patrick, honest question: if Elon bought 10% of stock and it(stock) moved with the market (same as SNP) then:
1) why did it do so? Never saw any sign of anomaly growth. Shouldn't it have sky rocketed with so much buying pressure? Why did it only start to grow when Elon announced the stake?
2) why would it now fall when he sells?

Because Elon is a super famous billionaire with millions of fanboys and girls. He could literally sell them sand in the middle of a desert and they would thank him for that.
Twitter turns over so many shares each day it would be easy to build a stake without really affecting the share price. It could have been accumulated over a long period without much problem.

@@pavel7063 Just had a look. From 1 FEB to 1 APR Twitter did outperform the S&P by 2%. Then from 1 APR to the day before the offer date (13 APR) it overperformed the SNP by a big margin - 19.6%.
Not sure where you are getting your figures from but you might like to check if you are looking at the right data.
The S&P was pretty level over this period but remember that the main selling pressure this years has been in tech stocks. The NASDAQ 100 underperformed the S&P by about 1% over the last 3 months due to the prospect of higher interest rates which impact these growth companies more. I suspect therefore there were plenty of people willing to sell Twitter shares and that means there would have been plenty of twitter shares available to buy without it really being noticed. It does look like from the beginning of April the buying pushed the price up a lot though.
If the bid doesn't go through then Musk could dump all his shares on the market at once which would push the price down. Would he do this? He might if he is spiteful and doesn't care about throwing money away. If he is sensible he would sell them into the market over a longer period so he doesn't reduce the value of his holding as he sells it.
There is a chance that if the bid fails (I expect it will) then the price will drop anyway. This is simply because all investors will know there will be a steady stream of shares coming onto the market as Musk sells off his holding. That supply will add to the regular supply of shares being turned over and could depress the price for some time.
