The company just saw their stock go from $10 to $65 in 3 weeks, yes they want to be prepared to take advantage of elevated share price to raise capital for acquisitions and other purposes, they haven't diluted anyone yet! They have the option to do so over the next 3 years, it took them 3 months from the last issuance of the form 424B5 to actually perform an ATM offering
