Though I am not in support of the Nykaa action but i think Nykaa is also not wrong in his actions. He has used the clear and fair means to save the company share value.
Also I read somewhere, SEBI has reduced the lock in period limit to 6 months for the Pre IPO investors.
So in future it doesn't matter if company issues bonus shares or not , because tax rate would be STCG in both cases if they sell within the year

I have always followed a rule that I will not sell shares in loss but Nykaa management behaviour was so much doubtful.So, when it was up 20% in a single I immediately sold it for 1% loss and now I don't regret it.
Sometimes selling in minor loss prevents us from big unrecoverable losses.

We cannot say this bonus issue is completely unethical bcz every bonus issue require authorisation at a company general meeting by passing a ordinary resolution (More than 50% share holders approval ) unless company's charter require approval by way of special resolution (75% Approval). Anyways it require approval from share holders if such is the case then how it can be considered as a unethical governance?
If there is a loophole that can be used. Like in USA companies used to do for tax saving. It is a good thing. They will control their their loses soon
Never understood NYKAA. Is it really so famous when it comes to their products. I and my friends have never used their products or even felt the shelf space so visible. Are their products really so visible as the hype or is it just hype?

As a female it genuinely has a huge user base including myself and almost all my female friends..it's quite strange that they are not growing as expected..
They are retailers besides selling their own product and i am one of regular buyer from beginning because unlike amazon they guarantee the authenticity and originality of product, i am into essential oil and i would not trust Amazon for it but still i didn't understand their valuation when they came with their ipo so didn't invest
There are just a handful of star products, the rest is just low-quality overhyped shit..literally shit because they can even damage skin... When the IPO came out we all were discussing it, but I dropped the idea only because if a company's products arent good, its sure to fail
@@dhaarna4475 Nykaa doesn't only sell its own products but also all other beauty and cosmetic brand that is available in India like maybelline lakme colorbar and even some international brands. There product base and user base both is good and they don't offer as much discounts as Amazon or maybe Myntra which is why it is hard to understand why they are not profitable. I haven't done business analysis but this is what I am talking as a customer- they make products available even in areas where brands stores are not present
In the begining i dont use to like parsad sir because sir said lic ipo is not bumper were as many other influencer were bullish on LIC ipo. (I was rookie at that time)
Then listing came loss on same date. That was the day my respect for prasad sir is at top. Definately i took the course and when we chat stocks in group i sound very talented because that course really taught me how to evaluate the stock.

Best solution is to amend the IT Act so that period of holding of original shares will be part of period of holding of bonus shares that will make it long term
It is not only Nykaa, there are many example of it when there is high selling pressure companies give bonus like IEX
Big lesson learned. No matter how big or brilliant the company is, a moron management can batter it in no time.
How can be company be brilliant if management is moron.
Maybe another lesson is not to run after the IPO craze. It was a good time for me since I purchased Nykaa at a deep discount.
Sebi should create a rule in which company cannot issue bonus share or split shares untill the lockin period is completed i.e a time frame of 2 years from listing date else these loop holes will be used by other companies as well..

This is because of ridiculuos valuatins. 40 cr profits but trading at 40 thousand cr..pe more than 1000. Plus bte is very low and is in a competitive space.

Other side of the coin...may be of interest to those who have nykka on watchlist, very good step by promoter (ex banker) issuing bonus share will not only reduce lock in inveator selling but also will act as stock split which increase the liquidity and maintain stock price. Very good stock to buy as value pick when the recession tanks the price.
Note- those who take position in stock after IPO without waiting share to reach intrinsic value and are not investors, they are traders.
This is just for institutional investors, right? Why do people like us need to be worried about it?

First thing, before ipo when shares r issued its known as pvt placement and as per sec42 of co act 2013 there's no lock in period as such.
Secondly, STCG is taxable only on the bonus part (if sold), since they r being sold before expiry of 1 yr. On the original shares Ltcg is applicable, which would have been taxable irrespective of the bonus issue..
Why would the investors have to pay STCG on the shares issues via bonus? Shouldn't that also be adjusted just like the price retroactively? This is a ridiculous rule. Why would investors pay STCG if suddenly the management decides to issue bonus shares or split them?
After listening to your story i feel nykaa management has taken very smart decision, it is in Favour of Investers those who are not looking for one night stand. only long term

In this case management must be changed if a large share holding firm file a report against manager to board of directors the it's favour of shareholders because if there is not wealth maximization of shareholders ,they must be quite from such firms

Same question here. Also investors knew that management was holding majority shares when IPO was launched. Infact that was one point these finance channels were highlighting positively and encouraging retail investors to go ahead and invest in Nykaa. Also if SEBI has not restricted issuance of bonus shares, where has Nykaa management gone wrong? The narrator himself claims this is a common practice.. then why single out this one company! This video was in poor light. Unnecessarily creating anxiety among those who remain invested.

Pre IPO investor invest at very cheap valuations and sell it to retails at very high price. Pre IPO investors invest in companies as they believe in company’s vision, then why they have exit after one year lock in period that too once company becomes public.
Because in one year they understood it will not good for long run.
That’s my point too, they are dumping to retail, see Paytm no split no bonus and still fall more than 60%. I think what nykaa has done good for these pre ipo investors.
They have very intelligently saved there shares from falling badly, but I am not sure if it's "ethical" ..... small investors are at loss, hopefully SEBI will take some action l, but I don't think anything will happen

What a huge difference in data for dec 2021 and sep 2022 in net profit growth, sebi should look into this matter to at least provide correct data to investors, dec 2021 data might be eye catching but who knows the reality behind it if it's actually been tempered? If in future sebi fines companies for Wrongful data presentation might me small retailers could benefit a lot and hence learning finance and investment could become lot more easier for them. Somehow dii/fii get correct data! What about retailers who are gonna think about them?

Great work prasad ji. I never trusted nykaa or pattm or zomato. Always be ware of start ups especially with greedy management or founders. I think when searching for a good company an investor should avoid IPOs unless they know and trust the company as well as the business very well, instead just wait some time and see how it performs in coming quarters before considering investing in them.

Long term capital gain tax is applicable on profit not in loss.
So much misinformation in this video. Even if the stock split happens, you only pay taxes on your profit. In this case the stock itself has gone down. So you won't be paying any taxes at all. People will still dump the shares anyway.
When the share price increased you told about positives when it fell you are telling about negatives. It's of no use....
When the focus of the manegement change is the time to exit the stock and when the focus of the management does not change is also the the time to sell the stock
