Hi, in the example about the collector and the contractor, though the construction of market was as per as the collector's desire but the contract between the shop keeper and the contractor was not for the construction but it was for the purpose of modifying the design of the shop to accommodate the shop keeper's need. Design all together was the contractor's prerogative, design was not as per as the desire of collector, therefore when the contractor enters into the contract with shopkeeper to modify the design, a new independent contract forms which has nothing to do with the contract of construction between collector and the contractor. Therefore, I am of an opinion that the contract with shopkeeper for modifying the design should be held valid and sales commission should be granted in his favour. Sir, this is an opinion of mine and I would request you to correct me, wherever I am wrong.
Is there anything done beside of the contract between collector and contractor? Is there any consideration have paid between them? No,thats why this is not valid contract because it is violation of sec 25 of particular act
What i meant to say was that contract between collector and contractor is 1st contract under which contractor is supposed to make a market for which he shall be paid. Whereas the contract between shopkeeper and contractor was a contract to modify the shop as per shopkeeper's specifications of design, thats a new, seperate and contract independent of 1st contract. Both these contract are mutually exclusive as per the facts stated. Thus in second contract there are 2 set of reciprocal promises forming consideration from each other. Shopkeeper has promised commission and contractor has promised to modify design thus there is consideration. It is valid contract as per facts stated.
