The Preliminary investigation is required for cases where the penalty prescribed by law is at least four (4) years, two (2) months and one (1) day without regard to the fine. So it is true that the violation of an ordinance requires no preliminary investigation not only because it is a summary procedure but also the penalty prescribed does not qualify with the required penalty requiring preliminary investigation as per Rule 112 Sec. 1 of the Rules of Court.

😇kinda disagree that appraisal right is available to any stockholder who does not want the default perpetual term. it is only when there is a successful vote on retaining the limited term that a stockholder who voted against the retention of the term can exercise the right. that is at least in consonance with the idea of a dissent in relation to appraisal right - you disagree with a decision and you tell the corporation you are out of there and they should pay the fair value of your shares...blessings to all
