    The balance between donors (alumni), foundations… restricted/unrestricted … process executives… investments… grants. I can’t even begin to tell how important.

    Hello I am truly delighted that I stumbled across your video in my search for understanding more about non-profits. I live in Nassau Bahamas and I need to know more on this subject to be able to contribute relevantly to a Board I am now on. This has been much food for thought and action. Thanks a million for providing this information.

    Amber, I was recently looking into who the owner of a local apartment building is here in Texas and went through public records, which are online for the state and I discovered that it is owned by a non-profit (a Texas nonprofit public facility corporation), which then leases the building to a a Texas limited liability Corp. which then hires a management company to manage the property. The officers of the non-profit and the LLC are the same people and they are located at the same business address. Then non-profit owns several properties that generate income and pay property taxes all over the state. There are also other non-profits at the same address also owning property, all of which is real estate with different but similar names! The names of the directors and managers are all the same across the board! I suspect the management company may be controlled or partly owned by the same people. I have not done a thorough search but from the properties I have seen under their control, these non-profits could have assets well over several hundred million dollars!
    Are you familiar with this set up? Why would the actual property be controlled by the non-profit? Is this similar to using a shell company? Is this being done to limit liability in case of a lawsuit? Is this done to limit or eliminated certain taxes? Are insurance rates for a non-profit the same vs. a profit? If the value of the property increases and the non-profit sells the property, who would receive the "profits", the directors of the entity or are there stockholders or trustees? Would one assume these people are one in the same? Could the directors and officers of these entities actually be making more money than operating then as LLCs?
    Is there something sneaky going on here?

      @AmberMelanieSmith  2 роки тому +3

      Hey there Daniel! Nonprofits can own businesses but presumably the income from the businesses would be supporting the nonprofit's public-serving mission. This set up does sound complicated, I am not a lawyer though. If they are violating conflict of interest rules that would be concerning. This article explains a little: nonprofitlawblog.com/can-a-nonprofit-own-a-for-profit-can-a-for-profit-own-a-nonprofit/

      @@AmberMelanieSmith Amber, there appears to be no "public-serving mission" with this nest of non-profits owning several hundred million dollars worth of real estate, much of it high end apartments, office buildings and strip malls! The treasurer for all of these entities goes by the title "General" and could be ex or current military. The officers and directors of all of these entities are the same people, sometimes being directors at one entity and secretaries at another. It seems to be a vehicle for wealthy people to reduce their tax and insurance liabilities by transferring title to income generating properties to a non-profit which they control! Additionally, it could serve to hide unethical or even illegal activity by having it conducted through the non-profit. I can see them being used as fronts for drug and human trafficking, massage parlors and escort services! Any income generated is then funneled back to the original stakeholders as income for being secretaries in these entities which they control by being directors of another entity which owns it! Or it can be used to acquire more real estate. There might be an advantage to hiding some of these activities in a non-profit versus a "profit" making entity in that some of the details can be kept from the public and the entities would be ignored by authorities when they are scrutinizing these activities.
      It is also unknown if any of these "directors" are even real or living people. They could be homeless or retarded people just lending their names for this purpose. This could be controlled by one individual!
      I am also thinking this could be a convenient vehicle to launder money from an illegal activity like child prostitution or arms trafficking into the hands of the officers of this setup!
      It could also be something controlled by a foreign government to hide stolen monies or even operate in a clandestine manner here in the US!

    Looking for ideas here: my parents are starting a non-profit and wanting to sell merchandise in which the proceeds will go to their cause. Now I’ve stumbled upon this video, thankfully! Originally, they were going to sell hats and tshirts with name of the organization on it, but I can’t find a way for that to be directly related to the mission - providing resources to children and families in need and to those children/families in the foster care system. Any ideas on merchandise to sell that would be “directly related” to this?

    • @AmberMelanieSmith
      @AmberMelanieSmith  5 місяців тому

      Hey there! The idea is that the literal sale of the shirts is part of the programming / is a community-serving program in itself. For example, an animal rescue that has a pet supply shop can say the pet supply shop IS a program that serves the community because its sales further the likelihood of families keeping their pets if they have everything they need. The Red Cross can charge for CPR classes because more people knowing CPR helps its mission. The issue with miscellaneous merchandise sales is that the sales are not usually a program that benefits the community itself. Here's one example I could *Maybe* see it working for (consult a real accountant! :)) - a mental health nonprofit wants to destigmatize depression, so they have messages on the shirts they sell that make people think differently about depression. Make sense? The actual tee-shirt message literally accomplishes the nonprofit's mission.

    I really got a lot out of your video. Good information. What I need help with is fundraising when there is a lack of manpower to help. For example, I am fundraising for a fire dept. I am also a firefighter/emt. I am busy. My dept is busy. Everyone is busy and cannot help out to do drives, events, face-to-face fundraising. What are my options?

    • @AmberMelanieSmith

    Assume, all types of community income source including donations doesn’t work or somehow doesn’t happened for a new startup nonprofit organization, can board of directors pay for the first year expenses from their own pocket? It is to be mentioned that new organizations in Canada are not allowed to do fund raising are receiving donations if they don’t have charity number!

      That's to rent it out? I would think there'd be some liability questions about renting out the nonprofit property. As for raising funds, that would probably be considered unrelated business income, and you could possibly be taxed on that income unless the very act of renting it out furthers your charitable mission (for example, if your mission were to "ensure everyone has a ride to work", then renting out the car would literally be helping with that...).
