    I'm with you on the chocolate theory. I feel that way in the parks too. They've taken SO much away from the experience in the parks, that we get all excited over any little thing anymore. It's super sad.

    My one vote went to Nelson Peltz. As much as I love Disney, I have no love for the current leadership and I feel it needs a major shake-up.

      @@FunAtDisney If we are going to start setting that as a precedent for serving on the board, then I ask you to name just one other person currently serving on the Disney board, other than Bob Iger since he is also the CEO, and tell me one creative project they have individually talked about that they want to do at Disney. Don't use generalizations, please be specific about what the individual actually said either before or after they were elected to sit on the board... we are all waiting.

      @@TravisAdamson-d9q And that is my point! You don’t check your dirty socks for another pair of dirty socks. Why get more of the same on the board only concerned about $$$ and not the product? Peltz and all have NOT talked about that at all. He has never said “Here are some projects for the parks that need to get done! Here is the direction I want Marvel to go…and so on. None of these fools have ever given what their specific game plan would be! So why would anyone vote for them?
      Who would I want? People like Tim Cook of Apple, maybe someone from General Motors that has a long time relationship with Disney. Maybe someone from the board of Epic Games, or Google and so on. Meaning people who understand about giving people (customers, guests, whatever) what they want and understand they must put out a great product first and foremost, take some risks along the way to drive the product forward (which Disney did with the Star Wars hotel). That is the type of people they need on their board.
      Had the others that are currently on the board done that? Not that I know of, but when it comes to people who want seats on the board and take over, and shout about it loudly they damn well need to say what they want to do about the parks, movies, streaming and all. They are saying “We can do a better job!” - Ok, how?

    I think that if Disney wants to survive, changes in leadership are essential. Bob Iger had his day and it’s over. The last CEO that progressed the company was Michael Eisner. So I would advise the current board to look back at what was different then and apply that to today’s company.
    Disney parks used to be the best on Earth and now…not so much. Why? The magic is gone. Too much is being done in plain sight and while patrons are present. I can remember walking into the Yacht Club Resort after 1am and the next morning at 7:30am, the entire resort’s flower beds were replanted. Not just replanted, but you couldn’t tell where the old plantings were. There was no mulch out of place, no dirt on the walkways, no tire tracks in the grass…no sign that anything had been done, except all the plantings were different than a few hours earlier.
    I never saw a painter, a construction worker, a janitor, or any other behind the scenes cast member until Iger took over. Not only that, but there were employees on property that were not Disney employees. They started to charge for all these things that were once free and not making the parks any better.
    Disney needs to understand something very, very important. Customers, not stockholders should be the ones you are trying to please. Stockholders should also not be demanding dividends from the company when it is profitable, those profits are supposed to be reinvested in the company to make it more successful. Shareholders make money off their investment when they sell the stock, expecting anything before that is arrogant.
    The management of the Walt Disney Company needs to understand their primary goal is to keep current customers happy and get new ones without alienating their current ones. They seem to struggle at the latter. All I want is for the Disney Company I grew up with and have invested in (we are DVC members) to return. It’s not a big ask because that company was relatively unchanged for half a century and was still very successful. They have to stop trying to match Universal and just be Disney.
    The company used to be renowned for their animated films, musicals, and state of the art theme parks. Now, all of these are in jeopardy. They have become greedy in thinking that they could just maintain and surpass the competition, it’s no longer working.
    The reason so many people were willing to pay a premium to go to Disney theme parks was the history of the company and you got what you paid for. The parks are losing more and more of the historical attractions and are replacing them with less than spectacular amusements. That, and they charge for nearly everything now. It’s creating a rift with the faithful because, while Walt wanted to make money…he wasn’t ripping people off to do it. He wasn’t forcing park goers to use something unnecessarily (My Disney Experience and Genie+).
    If I want to mobile order, make it an option…not a mandate. If I’m too lazy to pay attention to signage in the park…should I even be there? Those park time signs at the entrances were very helpful and I never needed them again once inside because every attraction has a wait sign.
    Prior to 2020, the smartphone only went to the parks to sync the magic bands. Now, they have to go every day. I’m not that egotistical that I need my phone with me every second I’m on vacation, especially when my entire family is with me.
    We need to get back to the point where Disney parks (and entertainment, for that matter) can be fun again. Spontaneity used to be one of the things I most liked about going to Walt Disney World. Park is too crowded, hop to another. Too hot, spend some time by the pool. Too tired, take a midday nap. Line is too long, let me use that free option for a shorter line later today. I can’t find what I’m looking for, the cast member comes up to me and assists. Bad food, only happened on time prior to 2002 and the meal was comped. Noisy room (neighbors, construction, etc.), no problem…let’s move you somewhere more quiet.
    These are the things that they should be focused on and because they haven’t…change is inevitable. I also think they need someone from the Disney Family on the board. That was when things got really bad for the company, after Roy E. Disney stepped down.
    The company needs a strong vision for the future, and right now…they don’t have a good one. Too many people of differing opinions makes for poor decisions.
    Long, but that’s my take.

    I voted for Trian’s suggestions all the way. The rise from q1 is just a flash in the pan with a bunch of promises that won’t pan out to what they want. It’s all blue sky or rehashed IP, in all the parts of the company. If you listened to bob’s explanation for the video game partnership you get a picture of how well they’re “listening”. The board has lost all imagination and is totally out of touch with its customers.

      The huge problem with Trian’s Peltz and Rasulo is that they are bean counters rather than creatives, and that is NOT what Disney needs right now - In fact they need the exact opposite. When Disney has put creative as the priority they have flourished. A prime example of that was Eisner up until the late 90’s when the he turned into a bean-counter which got us the dismal first version of California Adventure and Iger turned it around. It was also why Eisner got the pressure to resign from the group Roy Disney led because he lost so much faith in him.
      Unless you only care about the money (which is short-sighted) I cannot see how you would want this to happen!

      @@FunAtDisney Yes Disney needs creatives, but they fired/pushed out the Creatives with experience (and moderate/conservative voices) to bring in a new generation of very left winged new staff - thus basically making a monoculture.
      Have you ever wondered why the best movies in the MCU were all greenlight under Isaac Perlmutter and the vast majority of phase 4+ have been both financial and cultural failures.
      Disney needs both the creatives and the bean counters just look at Walt and his Roy... Walt could be creative because Roy helped finance and keep budgets in check.
      If only someone had managed to keep Iger from spending so much on Fox they would have had more capital now to do works.
      Whoever wins, I hope the company and society at large benefit.
      Sadly I personally think Iger needs to actually go, and not just go into the background like he did when Chapek was in power in name only.

      @user-li2yv5je5e I got my version correct ! I said when Eisner started to worry more about the money than the creative side DCA was a huge factor in that. These “raiders” wanting to take over Disney have never once talked about what new projects and all they would bring to Disney. It is all about their investments. That’s it!

    Chris, like I said before, you are always right on when it comes to these things. I definitely think we are getting 2 pieces of chocolate. I'm glad I watched your previous video explaing about Pelz and the Trian Group. I was ready for it when the voting materials came the other day. I did notice the frantic-ness in reading the report and proxy card. I did further research and found exactly what you were saying today. I, personally, am not happy with the way the company is going and am looking for a change.

    I appreciate your explanation of this. Although I’m not a shareholder, Disney has been a big part of my family in many different ways for 33 years…(AP holders, actors in Disney shows and advertising, and former cast members at Disneyland). We’ve always (formerly) loved Disney, and it’s sad to see how the culture of Disney has changed so much. It is no longer the magical, family experience it used to be. If I were a shareholder I’d vote blue. If it weren’t for this threat of losing seats, on the board, I believe the current disney leadership would never learn and continue on the track to destroying their legacy. I agree that all they’re doing now is scrambling with knee jerk reactions. Disney consistently disregards and disrespects their loyal fan base. More recently they’ve taken to sucking every penny out of families and give cheap products in return. When my kids were little, we went to the opening of every Disney movie. Now, their movies have gone downhill filled with propaganda. When will they learn that that is not appealing to most people?

They are absolutely terrified of what is about to happen and frankly i am glad i purchased my stock when the company was at rock bottom because regardless of who gets voted in, big changes are on the horizon, changes we've needed for a long time coming.

      @CarolCityCane305 his major thing is that he wants to inject a lot of revenue into the parks because Iger doesn't seem to understand that the parks are their most profitable business. He wants to make sure the movies and TV being released is of actual substance and not just cash grab sequels that over saturate their markets. My main thing is that he is the single highest individual investor in stocks in the company that is not a shell corporation which means his personal stake in the company is at jeopardy.

    Disney needs to acknowledge that their stakeholders (castmembers, cruisers, movie fans and park goers interns, the folks who make the ears, restaurants and hotels) are a bigger group than their shareholders. Someone should make them a spreadsheet that shows them when the stakeholders have had enough. My last annual six or seven day trip was in .2018. If what I read here holds up I am not the only one. The airlines, the shuttle service, the hotel, the Denny's next door and I won't be buying ears. I would think even Knott's and Universal would eventually feel a large drop in sales. Please Disney lesson to your customers, bring back the magic and quit pricing families out of your parks. There is nothing wrong with being a legacy corp whose stakeholders love them and the shareholder get a steady increase in the value of their stock.

      The Disney experience divisions are making money. It’s the Disney digital/media divisions that are severely hemorrhaging the company. The only way to maintain and grow the experience divisions is to make sure that the media divisions are healthy and are constantly cranking out new and compelling stories and characters that can be converted to intellectual property and presented as rides, attractions, and merchandise at the experience destinations. To stay on top, Disney needs both divisions to be successful.

Vote that way if you want, but let's not pretend that these guys are in it for any other reason than to make as much money for themselves in as little time as possible, regardless of what it does to the company.

      I think the reservation system is just a way for them to cut costs in a sneaky way. They don’t announce the hours of Disneyland or DCA until it’s 5 days away. That way they can decide if there’s enough people coming to the parks to justify paying cast members to stay until midnight. It saves them money which might be part of their strategy for inflating the stock price.

    I have never been one to care much about proxy battles and things of that nature but I actually voted this round. I can’t in good conscience not vote for change considering the direction things are going. The unforced errors this Board has committed need to have consequences.

    A REIT monetizes Disney Real Estate and further separates the original purpose of Disney-Magical experiences for children, families and anyone young at heart. I noticed most voting for green want short-term profits. Do we really want to sell more of Disney to people who want to build cheap commercial real estate? How much of profits from the REIT will return to Disney? or the Disney stockholders? Or be used to build new Disney attractions? I'm guessing a round number? Vote no on Green! Blue or White? That is a more interesting choice. Does this board need a shake-up? Probably! (see other comments). So personally, I am probably in the Blue Camp just to see if something positive can come from a shake-up instead of a structural change. Your right Chris, we are eating 2 pieces of Chocolate!

    White Card = Continue as is flushing Disney down the toilet.
    Green Card = Sell off chunks of Disney to highest bidders and break up company for cash.
    Blue Card = Turn company around and revive Walts dream.

      When I take over Disney myself, it will be both blue and green cards as Disney will be trust busted and lose all its acquisitions since 1995 and all decisions under me will be made by asking "What would Walt do?" again like Disney did after his death for decades.

    Love 1984. Today at my husband's job they fired the COO & sent out a letter saying his position was redundant. Apparently they've been asking him to drop the title & just act as legal counsel but his ego said NO! Even with a pay cut so his last day is 4/15th (tax day). When you talked about them having an ego, I thought about this. So now he's gotta look for another job as a corporate attorney.

    Splitting Disney up into different companies would be the beginning of the end. Disney definitely needs some change, but I don't trust any of these people lol

      Disney will be broken up under antitrust and lose all those acquisitions so that means no more Marvel, Lucasfilm, Pixar, ABC, ESPN, Muppets, etc. Basically, Disney will be rewound back decades and be told to learn its place in the world as nothing but an animation studio with some theme parks that asks "What would Walt do?" to get things done like it did after his death.

    Disney lost more than half of its stock value from 2020 (peak). They have arranged artificial stock bumps via various calls during post- earnings calls in the past through various etfs. Meaning companies held in support of the board have setup sales to fall after earnings calls to give artificial raises during Iger era's announcements proceeding anything related to financial calls. You can tell because these mini-bumps always disappear shortly after. The largest gains they've had this year have come from the Lay-offs and chasing outside content (Taylor swift movie). None of the core brands are performing well(Marvel, Starwars, Disney Classics, etc.). The messes they're entangled in with the lawsuits from class action with former female employees and the recent Gina one. Disney is in a historic moment due to mismanagement at the very least. Enemies do not come out of the woodwork for no reason, regardless of the political lines they've crossed, they have made many, many mistakes. -The board should be replaced. (that last part is my opinion.)

    IF I was still a stockholder, I would vote blue. I sold all my stock when it was still in the $140s because my confidence in management was gone. I was hopeful they would correct course, but they have done nothing to change my opinion yet.

    I’ve got a small stack of stock, and your breakdowns are really helpful. You’re one of several sources, of course. But I think you’re right on the money.
    I think the green card is an awful idea, but the blue card is more and more appealing. They SHOULD be nervous.

    A shake up is definitely needed right now. Iger is surrounded by YES men and they are allowing him to spend way too much money on things that aren't proven. Having Peltz' vision and Rasulo's decades of Disney experience on the board is probably the best thing to help right the ship. The worst thing that could happen with them on the board is stagnation, Peltz and Rasulo won't allow things to tank. Blackwell's plan is frightening and shouldn't even be taken seriously.

    Chris, All the options have there own risk's and are scary to some degree. The Blackwells real estate option is the most scary, Disney owns a lot of land around it's parks that they don't use at the moment. Blackwells could sell off all the land at WDW for housing and shopping malls etc. At Paris Disneyland all the unused land there is ripe for development. Blackwells could sell off land or do their own developments then sell off the housing etc to new owners. At WDW, Walt set aside 7,500 acres as a Nature Reserve could you sell that? Or does that let Blackwells sell the rest of the unused land. Then say for the good of Florida and the Planet we'll keep the 7,500 acres as a permanent Nature Reserve. Because of the Nature Reserve does that give them a better hearing from the Forida Government when they table any land proposals? Many sleepless nights to come. Cheers, Chris Perry.

    Disney is a for profit company first and foremost. All we, shareholders, really want are returns. Change can’t hurt too bad. The stock has lost more than it has gained. That is due to the current governance.

      Disney shouldn't even have shareholders at all. It should have an Owner the way sports teams do. Basically, an autocrat who answers to no one except Walt.

I truly think our entire country would be better off and less contentious if all of our political commentators followed your approach of trying to educate in a unbiased way and urge people to do some more research and make up their own minds.     Is it not possible to vote both green and blue, and vote many of the old board members out? I think both blue and green have very valid approaches, whereas white means more staying away from Disney for many of us.

      Well when I take over myself and Make Disney Great Again, everything will be done by asking "What would Walt do?" again. You'll be getting Disney of the 60s at earliest or Disney of the 90s at latest. No more Star Wars, Marvel, or Pixar in the parks.

    Another thing. I went to CDA for the Chinese New Year thing. Sampled most of the "Chinese" food.
    The noodles at longevity noodle was pretty awful. They were mush and over cooked. They fried rice, had hard dehydrated peas in it, where some of the peas were cooked. The rice was also mushy.
    You'd think that Disney could at least subcontract Panda Express or PickUp Stix to provide this "Chinese" food.
    I eaten a lot of Chinese food, since I was a kid to now, it one of my most favorite food. But what they were selling at DCA is an insult to Chinese cuisine.

    Thanks for breaking down how the vote is done and who are the contenders. As for who to vote for I would suggest to ask yourself, Is Disney in a better place now then has been in the past? Is Disney as a company producing a product that you agree will make the company stronger? What has each candidate done in the past that may show what they may do with Disney's future? Depending on the answer to those questions then ask, of the candidates who is the best to be leading the company?

    Honestly, I’m thinking that the Blue Card will win. The reason why is because Peltz doesn’t really mess around when fixing companies and most of the companies that he fix had a ride or advertisement in a Disney park. True, he doesn’t have any media experience but with good help he can help find someone that’s good with business and media. Honestly, even though I love Disney and I want them to be better, I think in order to be better they have to accept change. Sometimes the change can be good and sometimes the change can be bad, and honestly to me it does feel like Disney is throwing spaghetti at the wall to see what sticks. And basically Peltz is pretty much right even if there’s a company that thinks that there are better than Peltz they will end up doing Peltz plan anyways. I think that’s what he means by Peltz never loose.

    I think that Disney needs to find a workable CEO that understands the media side of the business. REITs are a bad idea as these are the financial interests that have killed retail since 2008. Nelson Peltz was a supporter of Chapek, Peltz has zero experience managing a media corporation other than demands for Netflix like returns. Disney is NOT Netflix. You don’t see Netflix with a parks and experiences division, or real managing real estate. Voting for any alternative slate would kill the Disney Company and divide it to the point where synergy would be impossible. The remaining companies would no longer work together but try to metabolize each other the same way with what happened to Viacom when it broke up into various assets. So I am skeptical of these proxy fights. They don’t care about the Disney Company.

    I don't know, boss... One quarter of gains doesn't offset a decade of awful performance. There was a bubble in late 2020, too and that burst, bringing us back down to 2014 prices.
    Team Blue for me. I want that magic back. And not showing a 30% loss on my DIS eTrade page would be nice, too.

    With no change in leadership on the board we'll keep getting the some things over and over. The current CEO's and leadership lacks a connection to the experiences of the consumers. Lets look at parks. While somethings have returned there are still many things that are closed and just aren't returning. Some of the changes also haven't been for the best. While we blame one CEO it wasn't entirely him. Movies take about 3 years to make and put out. This means everything you're seeing was stuff already going under Igor. Kennedy isn't going to be gone under him and with that we get people who are pushed out because they don't agree with her. A prime example of this is the Director of the X-Wing movie. It seems like creative that has been in the past a major thing been let go or fired in order to all fit an ideology. We really need to get people in there who will change this. Lets look at Jay Rasulo and what he brings to the table. Former Disney CFO and head of parks and resorts. Under him things like Seas with Nemo and friends, Monster's laugh floor, and Gran Fiesta for a few. These are things that people still love and enjoy.

    Really good video. However in the recent past you mentioned in another video the balance between keeping park customers and shareholders happy. It sounds like the green and blue are completely profit driven towards shareholders. Although the status quo white card hasn’t exactly delivered awesomely on either end, I think in the long run it will still run profitable and have half a shot at giving the customers something back. With the green and blue options the customers are going to get cut back to maybe a half of a piece of chocolate while the shareholders get fat on it. Anyone who thinks that the profits garnered from a shareholder driven philosophy will ever be shared with the park customers is foolish. But for sustainability purposes there has to be a balance and I feel that the blue or green will simply turn the whole operation one sided indefinitely.

    I love Cabos new doo. I can hear her going to town on her pup cup. The mountains are beautiful even with the little bits that can be seen despite the cloud cover. I have to wear a safety vest for my job as well. Especially when in our bus yard so we can be seen. Have a good evening.

    I worked at another global company when Nelson Pelz tried to get a seat on the board. He wanted to split up the company. He lost that proxy fight, narrowly. The company still gave him a seat on the board. The company was not split up. This stuff is complicated. 😊

    Since the brought back the dividend at half of what it was, I took advantage of the bump and sold my 15 shares at $300 loss instead of 600 loss.

    A wake-up call is in order for Disney, but the green card proposal to split the company into 3 independent entities sounds like a recipe for disaster and a surefire recipe for mediocre results. I vote white card because long term success is about innovation and the blue card exhibits no character in that area. What makes anyone believe that the company would be in better shape today if either of these colorful factions was actually in charge? Be careful what you wish for on that star!
