    Sound is horrible guys on this one, but always love your content :)
    In my experience as a business owner of both a C-corp and S-corp, I highly recommend structuring it as a loan. I sold both my companies for a massive profit, and since the obligations had to be cleared BEFORE or at the closing of sale, I was paid from first and primary funds, just like any other debt holder. Also, I made sure that my "loans" were structured in first position along with any bank LOC's, etc., and that I had full title to claim on assets in the event of bankruptcy or failure to pay.
