Sir as per sec 46(1) if any company distributes its assets to its shareholders then no CG arise in hand of company But sir if company transfer assets to its creditors or lenders capital gain is possible only if it is not able to pay amt dues and if company is unable to pay the amt due then how can the govt recover the capital gain from company on distribution of assets on liquidation to creditors/lenders Also capital loss will never be there as company will never pay amt or assets of fmv exceeding its dues in case of liability for creditors/lendors,etc Whether there exist any section for exempt that CG on distribution to its creditors on liquidation
