Sir, at 21:38 , you said to use exception construction and read 'and' as 'or'. But that is wrong as we have to comply with both conditions to be a foreign company. (Example: if a company incorporated outside India has a share transfer or registration office in India it will be considered as having place of business in India, but still it will not be a foreign company if it does not conduct business in India. This is also given in Example 3 of icai module page 9.10)
Bro, firstly what sir said is not wrong that is 100% correct(you can refer to MCA notifications/clarifications also ICAI is not above MCA), secondly IF we agree to what you say then a company needs to have a place of business AND conduct business(both conditions) but if a company conducts business in India BUT does not have a place of business in india according to you it will not be a FC. So comp like alibaba which sell in India though Ecom will not be a FC and that is why MCA had to come up with a clarification- If a comp which is incorp outside india and conducts any business in india without having a place of business in India would be a FC as per 2(42) so its interpreted as OR. either you have POB or conduct any activity.

Sir just wanted to clear that you said about exception construction initially in Foreign Co. chpt. but in Study module there is one illus. no. 3 which stated that cos. in order to be classified as foreign co. they need to fulfill both the condition i.e there is ''and'' condition nd it needs to fulfill both of them. So can you please explain whats the fact and which one should we follow?
