Kindly note: As per the prescribed conditions, a private placement offer or invitation can be given to maximum 200 persons in Financial year.
This limit of 200 persons shall be calculated separately for each kind of security (ie equity, preference or debenture)

In my opinion, the last thing about penalty is not correct, the total amount of nominal value or 2 crore. But it is whichever is lower, instead of whichever is higher.

Limit on Fresh Offer : No fresh offer or invitation under this section shall be made unless the allotments with respect to any offer or invitation made earlier have been completed or that offer or invitation has been withdrawn or abandoned by the company.
It is provided that subject to the maximum number of identified persons under sub-section(2), a company may , at any time, make ,ore than one issue of securities to such class of identified persons as may be prescribed.
