- Chronicles of Elyria, or should we just refer to it as Kingdoms of Elyria now? Just dropped their alpha client for backers, only the goodest of boys can play for now, the people with the highest amount of Caspian Good Boy Points influences who can enter. But beyond that, the requirements to download and install the game are of course as I warned you weeks ago, to sign a ridiculous legally binding document that strips you of any right to legal recourse and literally states you acknowledge they are under no obligation to give you any game should you accept. This is truly the darkest of timelines, I can't wait to see how the reddit and discord cultists defend this one.

Yeah I get it , I didn't know that's what 4x stands for(despite playing the genre for years, I just never looked it up) but even if the queen herself wrote that I'd still call it goofy. That Agreement License is scummy but its exploitable on a massive level. You can't bring them to court as a class action, that's for sure, but what you can do is flooding them with arbitration requests if you want to ruin them financially, they literally won't have the financial power to handle all of them at once (and by judging their finances I can see they can handle 10 arbitrations at best) on top of that if they reside in Florida by the law its stated they must pay for the abitration expenses which could totally ruin them.
Laws have always a loophole.

Do US laws allow that? In my country those types of one sided forced contract are easily nullified as one side had total control and uperhand of the means.
@Honudes Gai Practically this. Also of note is that if you are found of felony charges, literally all of your contract defense goes right out of the window. Say, for example you intentionally manipulated people into providing funding for a non-existent product with criminal intent... *cough cough*
At that point, no contract is going to save your life. You will be dragged to court, and will be held accountable as per the findings and result of that court proceeding.

I wont attest to knowing law or anything but surely your comments here should be enough for any court to realise this guy is a fake and is scamming everyone. Last i checked, when you purchase anything via a order on lets say Amazon, if you order shoes, a playstation, bedsheets etc, you expect to get the item you purchased and them refusing you your item worth much more is breaking their agreed terms as a merchant. Surely its the same here? He took 8million to develop a game no one agreed to or wants, that is bait and switching peoples cash.

It is the nature of Kickstarter/GoFundMe etc, to only have to deliver that which was explicitly promised.
But even in the case when they dont (Caspian didnt), you cant actually take them to court just for that, unless there was a specific delivery date attached to what you were promised.
The thing is, I dont know exactly what were the backer rewards and how it was phrased exactly, but even if I were to look it up right now, it wouldnt matter so much, because there are separate agreements and conditions for Kickstarter, and those need to be examined by a lawyer.
So the short answer is: Only a lawyer who has experience in these things can tell us how likely it is that a class action lawsuit can be won against Caspian.
The only thing I know for sure, is that Caspian is a slippery little rattlesnake, and he's just trying to get away after biting us.
@@morpheas768 Even if a lawyer has a case, making any speculations on the result is usually not something they like to do. People are pissed off at this though, if Caspian had any significant support, they wouldn't have been bankrupt in the first place. This has gone farther than that, as many of the pissed off people have legitimately filed against SBS. This ToS scheme won't work, because aside from the real stupid, most of these backers don't want KoE, and won't accept it as a consolation prize. If he had any significant backing left, comments and likes wouldn't be disabled on all of his update videos. This is beyond Kickstarter, because the majority of the funds raised were done outside of it through Xsolla, who is on the hook for this as well. Is it possible nothing comes of it? Of course. But I will speculate that if there was no threat to Caspian, he wouldn't be clowning around with KoE. He wouldn't be putting clauses in the ToS that try to waive peoples right to sue.

There are some rights you cannot effectively waive in a contract, and quite often a judge will disregard clauses that attempt to restrict you from taking legal action.

4X is actually the name of the genre of strategy games that have those 4 elements as core gameplay mechanics like Civilzations or some Total War games. Granted in the case of Chronicles of Elyria it sounds a bit lofty doesnt it xD

Yes, it's a fairly niche genre but really addictive for its fans. Civilization is pretty much only mainstream one. Master of Orion is another relatively well known classic.

Most likely not. A scam is a scam regardless. And courts usually recognize that and nullify BS contractual agreements

Also they basically made their own contract unenforcable by making it about a video game, yet included the phrase that they may or may not ever release the game. The game is the literal contract objectual. If the game doesn't exist, or doesn't get released, they literally cant enforce the NDA. That part alone is an absolute oxymoron in such an NDA. Heck, the sheer vagueness of some of the contract clauses on their own would make it unenforcable, as they are effectively open-handed goalpost moves, which wont work in contract law. A contract has to be de facto deterministic. You can't have a contract about, say, getting violin lessons in a music school - but they also force you to buy a certain insurance, and also enforce you to walk the red light/aggressively jaywalk. That doesn't work. It has to have a strict objectual framework to even be enforcable
Imagine it would actually uphold. You break the NDA. They drag you to court due to that for Kingdom of Elyria. The way it is worded, they would be able to drag you to court for the next project they create for breaking the KoE NDA. And the next one after that, retroactively, too. Primarily due to the vague, non-deterministic statements and clauses made.
That thing is as much worth as a paperweight.

Each employee 70,000 P/A.
8x70,000= 560,000 a year.
Set aside an additional 30% of that amount as a buffer for overtime or workplace BBQs/ morale boosting celebrations so like. 650k a year.
4x650k is only like 2.8Mill.
Pay yourself as employee at the same rate or slightly more, you have absolutely no necessity to "Work"
You've just given yourself the ability to not "work" forever. With the ability to employ others for X amount of years.
As an employee of your own company you're covered by a bunch of different legislation etc that benefits you.
The idea that people fuck this part up baffles me.

I want to say a big thanks to you and the other UA-camrs who take heat for bringing these 'games' to our attention and keeping on it for the rest of us! It also makes for some interesting content. I've learned more about Kickstarter, UA-cam, and game development in the last few weeks than I had in my entire life before.
100%. Please give a coin to your Watcher, if able, to continue this sort of activity on UA-cam. The scammers are only going to up the ante, we need to be able to call this shit out when it happens. Terms of service aren't really all that ironclad in courts eyes. I wouldn't worry too much about Terms you agree to, as a half-decent defense team would point out the terms are absurd and no one reads them line for line. Of course, my only source of this is business law class while getting my MBA so huge large grain of salt of my extremely limited understanding of how terms of service that are essentially insane hold up in courts (loosely at best when it comes to absurd terms).
I would be able to confirm that those terms of service would be completely irrelevant in the EU, where I come from.
But I don't know about the US. There are quite some ridiculous legal rabbit holes there.
Not to mention in this case the ToS is basically for people that have already given money to them, so even if the ToS was less insane I would imagine at least some courts would prioritise the earlier promises to backers over the ToS.
At least in the US, EULAs aren't worth the paper/doc they're written on. Companies for decades have tried to put all sorts of crazy crap in EULAs and the courts just laugh at them.

On top of all this keep in mind that this contract CAN not be used towards Chronicles of Elyria because its not that game and that product is already cancled so YOU can still sue them for CoE however it will be harder to sue them for KoE if you signed it. But then again even court can see this as a massive scam from miles away. Even if Terms of Service say things they still cannot overpower the Law. Especially here in the EU all 4 of those lines wont hold. Especially the You cant sue us but we can sue you is a no go in the EU since we have the equality rule that you cannot simply forbid a user from somthing while a corporation CAN do something. Terms and conditions are mostly meant to prevent author theft and protect the company against bullshit lawsuits e.g. promised purple gun but you got a green one for compensation. However court can and will see trought the sharade of the bait and switch. (Most court judges have specific people that can rule out stuff like ex-game developers who can testify for things). All in all atleast from Europe its almost a save bet you can sue them even after signing as those terms cant be uphold in Europe court.

Caspian is such a worm. He's holding what content he has managed to create at ransom and to get access to this dumpster fire you have to waive your rights to hold him accountable to his obligation to deliver what he originally promised.

@@pauls5745 Also the legal system works totally differently in the EU. Where as in the US you can enter into an agreement and waive your legal protections as a consumer in the EU you cannot. The law sets the minimum level of customer rights and those laws always take precedent over any EULA's. So waving your legal customer protection is not even possible.

Correction. Influence was based on how much you donated, kings being the highest. You could get the good boy points added to that, but that is a very minor amount in comparison.

So basically they're asking to take away a) your right to collective action, and b) your expectation for any game whatsoever, and even if you do raise an issue, instead of the regular court system you have to literally resolve this against an "arbitration tribunal". Yeah, not suspicious whatsoever.

Compare that to CR who seemed like a questionable fraud/madman for a year or two. After he started making progress and pushing it to players, it has been clear he is no fraud, just a wee bit mad in the head. So fun story about removing the class action ability is that it might screw him. You see, a lot of times for arbitration the company has to pay the bigger portion of the fees. While customer has to fork over a few hundred, the company has to pay a few thousands, sometimes up to 10 thousand to cover the costs... and if thousands of people do that, then all of a sudden they need to pay millions, even if at the end the arbitrators say everything is fine and the company isn't liable. There have been a few cases where the company tries to turn it into a class action because the whole point of that is to reduce legitagition costs, and the courts just slap them down and say, "No, this is the agreement you signed. You can't back out of it because your terms weren't as advantageous as you thought."

Point of clarification - influence was also primarily earned by how much money you spent, not just "good boy points" (though those happened occasionally as well).
Arbitration ALWAYS favours the gaming companies. I've seen this mostly with Riot games. There are others also but its been so long I can't even remember the companies or the reasons... I just remember that it was all unjust with tons of evidence against and yet it was ruled in favour of the defendants. About sexual assault or sexual misconduct or it was just bro culture 🤔
That was a very different thing though. With financial irregularities, there's always a paper trail that can be followed but sexual harassment is very subjective & difficult to prove without hard evidence.

As an a2 backer I have spent thousands on this game. I am tied between excepting KOE knowing COE will never be made or finding out how to partake in the lawsuit. It is clear he wants the people that spent the most to download the game and will download the game and that is less he will have to shell out in the lawsuit. He made it clear he never planned to make COE and never will, now he wants everyone to sign and state they understand that and agree not to sue him for it. He shot himself in the foot by putting that truth in the download agreement.
While it is silly, the capital X thing is actually used by other games in the 4X genre.

It blows my mind that over a decade ago I could log onto Steam and get effectively a free-to-me game, developed by coders in their spare time, in the hopes that they would get some cash from the platform, and greenlit because it kicked ass, and every single one of those games was lightyears ahead of this shite.
Just... how? Even a scammer should realize that all you need to do is pay a half dozen competent coders a years supply of cool ranch and code red and BAM you'll have something actually playable and looking like a decent piece.

Man, they've now worked on like 6 different games to "help make CoE". There's been low-poly, voxels, etc. They've even changed game engines like 4 times. I don't see how anything they say or do can be defended in court if the prosecutors do even the slightest bit of research.

This reminds me of Life is feudal or whatever that game was called. They did the same thing but they actually had a game. Their topdown version was a blatant clone of Banished.
Remember; contract terms can be illegal, and thus render the contract void ab initio. A contract that "You are buying X, but we might not give you X." is probably not going to hold up in court.

6:21 this might bite them. I forget what company it was, but a whole schwakload of people sued them and the company had to pay arbitration costs, individually, for every single one (was something like 1200 dollars x 100 000 people). They acutlly tried to amalgamate it as a class action and the judge looked at them and was like 'these are YOUR terms.' and they were like 'but this will bankrupt us' and the judge said 'then you should have wrote better terms.'

Cheer up, had a patient a few days ago who was both dehydrated and had tiny veins. They attempted to place a line 8 or 9 times before giving up and calling IV therapy to send a nurse down with an ultrasound. Where was that thing when I was in and out of the hospital as a teen? Most of those terms aren't legal in many countries (Mostly in Europe) and I expect could also be challenged in U.S. courts, but U.S. courts tend to favour companies over individuals.
ToS is always secondary to your legal rights as a consumer and citizen of where you live, yeah. But it adds an extra layer you have to combat before getting to the original root issue , you're making it much more difficult for yourself if you're signing or agreeing to any terms like this which may or may not be enforceable within your area.

From what I know about arbitration clauses, it is not quite that black and white as you paint it. There's a few things to consider:
I) Arbitration clause vs. cause of concern.
To my knowledge, no arbitration clause upholds on the matter of a felony conduct, as in this case law supercedes the the federal arbitration act.
II) Matter of arbitration.
Most of the time arbitration is strictly tied to the contract the clause holds. For example you can't create a purchase contract of a perfectly fine washing machine, get delivered a completely broken one, and then be redirected to arbitration - at least if you have a solid case of intentional misconduct.
That said, obviously also only an armchair lawyer here and not an actual one. But it also begs the question about enforcability on a global scale, as is a given with a 'video game' "product".
If they have a customer in Alpha in Germany for example, they can shove both the waiver as well as the arbitration clause right up where the sun dont shine, as this is mostly illegal in contract law over here.
The Caspian crap bag has ruined any chance of a legit crowdsourced MMORPG happening in the future.
In the last video I said that it seems like they're now focusing all their efforts on not getting sue and I guess I was right. Granted, many legit companies also put arbitration clauses in their agreements, but it is still very telling.
