It’s not a payment of 56B. The package allows Elon to spend his own 7B into buying shares at the price when the agreement was made. Which is around $25 a share. Once purchased he cannot sell single share for next 5 years. The current valuation of these shares will be around 56B in current price.

If the vote passes, the 56 billion dollars aren't actually awarded to Elon, instead Tesla gains just north of 7 billion dollars. But doesn't "Fiduciary Duty" come into play by maintaining the company's word and bond with contracts written? If the company abandons past agreements this would reflect poorly on potential contracts necessary for going forward and thus hurt the fiduciary interest of the company. Example: Tesla wants to create a company in "x" city (no pun intended) but the city manager advises the council members to decline based on the past track record of the company, Tesla, not living up to contractual obligations. The fiduciary interest of a company has more to do than with a temporary money grab, which Musk's compensation package doesn't even afford the board to do. As I understand it even the dilution of stock was taken into account when this was voted on in 2018. I haven't heard a single argument to defend declining his compensation package. No one able to achieve what Musk had done for the past decade. He is unreplaceable. If the share holder don't support Musk pay package, I think Musk will walk away from Tesla, I would. Because it means Tesla share holders don't appreciate Musk past contribution. This is not about money, Musk already has so many billions, is about appreciation and what had been agreed before. Just like you went to Walmart to buy an item cost usd5.25, you got usd5.20 only, you said to cashier is only 5 cents, why can't you let me off. It is not about the money, is the principle and how the system works. Just like the pay compensation plan which was put into place in 2018, it is not about the package amount, it is about the trust, the appreciation.

If the vote passes, the 56 billion dollars aren't actually awarded to Elon, instead Tesla gains just north of 7 billion dollars. This is because Elon simply gets the right to BUY shares from the company - shares which have already been issued in the past, so there is no dillution of current shareholders. In fact, shareholders gain 7 billion dollars because those 7 billion go directly to the bottom line of the company. This is why voting yes is not only obvious for those who support Elon, but also for those who don't support him.
The real shareholders of Tesla should support Elon Musk wholeheartedly in order for Tesla to continue its upward trend in the EV industry and sustainable energy transition. Tesla is not an Enron type of company. It’s an alive entity that is changing the world. Crockpots are trying to make money off Tesla.

CNBC did a shameful job not keeping Ron in line, he told multiple mistruths in this interview and they just agreed with him. Example- He’s either an idiot or a liar for acting like 1 attorney is asking to get paid 5B. Three law firms, 4 lead attorneys and thousands of billable hours over years and years are on the hook and the loser pays the fees. That’s how it works and he knows that. Of course they’re going to aim high to get paid.

One of the answers was "Fiduciary Duty: Board members have a fiduciary duty to act in the best interests of the shareholders."
But doesn't "Fiduciary Duty" come into play by maintaining the company's word and bond with contracts written? If the company abandons past agreements this would reflect poorly on potential contracts necessary for going forward and thus hurt the fiduciary interest of the company.
Example: Tesla wants to create a company in "x" city (no pun intended) but the city manager advises the council members to decline based on the past track record of the company, Tesla, not living up to contractual obligations.
The fiduciary interest of a company has more to do than with a temporary money grab, which Musk's compensation package doesn't even afford the board to do. As I understand it even the dilution of stock was taken into account when this was voted on in 2018.
I haven't heard a single argument to defend declining his compensation package. Are there any atty's out there who can shed some light on this insane lawsuit?

The judge ruled for nothing actionable in terms of changing the board or the size of CEO pay packages, despite declaring that those were the issue. All that the judge did was invalidate the package toward Musk. Doesn't sound like justice.
