Armored Spider-Man (in the grey) has a very slight bit of flinching resistance (similar to Hulk) and I think takes slightly less damage, but also does less damage with his attacks than normal Spider-Man. Both versions have the exact same speed and frame data, making them pretty much on even footing with one another.
