Your videos are very helpful. So far in my initial research, you have addresed topics no one else has (such as alphabetized shares). There's so much to know! Thanks for your time and effort!
Hi Kimberly - that was a very thougher and informative presentation. I am setting up a Deal sourcing and Deal pasckaging limited company and will look to your channal in future. Well done.
Hi, very clear and useful. Thank you. I’m thinking of setting up a LTD for buy to let properties. My children have just finished their university studies. What is the difference when I include them as shareholders at the setup of LTD now or few years later?
Glad it was helpful. Depending on lending you can include your children. If they are introduced at a later stage there may be tax implications which may be the reason for including them now rather than later even if it is only a 5% shareholding.
Hi Kimberly, thanks for your very useful videos. I have got 2 questions plz. First, can i buy a property on any kind of limited company such as catering or transport company for example ?. Second question , what is the best SIC code for property limited company? And does it make any difference if my property business is trading or investment? Thanx in advance Kimberly 😊
You can buy in other SIC codes depending on what the company is doing I.e it may be an office for a trading business which would be fine. Issue may come around lending depending what they would like to see. The SIC code will depend on what type of investing you are doing as there are different ones for trading property, investing or for specific purposes.
Hi Kimberly, Great video. We are a couple without kids who are looking to set up a Limited Company with 100 share. Is it best to have an ordinary share of 50-50 each ordinary share or have A Class share with 50 for the husband and B Class share with 50 for the wife? Or do ordinary share now and change it to Alphabet share later when we have kids?
I would always advise to set up as you mean to go on so would suggest Alphabet shares if you are looking at ending up there anyway and you can split them up as you see fit. So 50:50 works or you can do other options depending on what will work based on your strategy or circumstances. If you want any specific advice I would suggest speaking to an accountant to ensure it will work for you now and in the future.
You can set up a company with several SIC codes. The main consideration though will be the lending side of things. I would suggest speaking to a Broker depending on what you are doing to check that this will not create any lending issues.
Can I increase the number of shares in the future if needed to bring private investors? - is there any specific implication of I decided to create thw buainess with 5 milion shares?
Hi thanks for the video. If i'm getting a loan from my parents for a cash buy of a property, do i need to set them up as shareholders in my company in order for me to pay them back once i refinance? Or can i repay loan without needing to put them as shareholders?
They don't need to be shareholders to get there money back. They would just have a loan with you or the company depending on how it is set up. Ensure you check out the video on CT61s if you are paying them interest.
Unless specific processes are followed then no. The process is where there are multiple properties in a partnership. There will be a video released at some point. General rule for one or two properties you will have to pay stamp duty.
You can have this as any address either at your own home or office or there are services that provide this as an option so your personal addresses remain confidential.

How do AST agreements work with ltd company compared to owning property in personal name who do you write on the AST?
The company will be the person on the AST. Should a specific name be needed then one of the Directors can be added.

Yes you can bring in the future. That is too many shares unless you have physically got £5 million pounds or penny's to actually invest.

Hi, great video.
Can we transfer deeds of property from personal to a limited company without paying stamp duty again?

@@kimberleyshapcottpropertytax Thank you for the prompt response 😀 👍. Will be waiting for your new videos.
how easy is it to move an existing company to one under a holding company?
There is a process to follow however it is not too cumbersome and depending on the circumstances can make sense as a business grows.
I increase the number of shares in the future if needed to bring private investors
You can bring in additional shareholders at a later date and increase the number of shares if needed at any point.
What about registered office address for the company?
You can have this as any address either at your own home or office or there are services that provide this as an option so your personal addresses remain confidential.
