As a freelance graphic designer on the side I am really struggling to decide to remain sole proprietor but I don't make a whole lot of money doing what I do right now. LLC is very tempting but I'm not making big bucks. Intellectual property is huge in the design field. I try to stay above board and never intentionally copy or steal another person's work, but there's always the off chance it could happen by accident (not enough research or great minds think alike). I am afraid of being sued in case something happens.
Even though there are some start up cost for the LLC, I think I’d rather start out knowing what my budget will be with that expense already added into my budget plan.
I have a photography business that I have registered as an LLC since last October. I am considering switching to a sole proprietorship, maybe with a DBA name instead. It seems much simpler.

Also, pointing out when you might consider choosing one over the other. My wife and I are just starting an online business with no current customers and therefore no current income from this business. It makes sense for us to start with a sole proprietorship. This was a very helpful video. Very clear breakdown of the difference between the two, thanks. I have to say, the contrast between the speaking dialogue and the music was extreme. I turned up the volume enough to hear your speaking clearly and then the music was loud enough to hurt my hears when listening on speakers. I would heavily consider editing your audio levels to avoid this for future videos, and my ears would also appreciate it. Thanks for the videos! May have to check out some more.
1. I am a recently new business owner and single member LLC. I had no idea that I could file as an S-corp. I am not sure yet which would be better in my situation, but there are questions that pop up in my head. 2. Say, I want to file as an S-corp but my EIN is registered as a disregarded entity. Does that mean that I would have to kill my current EIN and register a new EIN under S-corp? 3. You’ve mentioned that single member LLCs will be taxed as a C-corp? My accountant had explained it to me in a technical “accountant” language and I believe that I didn’t get a full grasp on why C-corp is the only option in my case. 4. Since business funds cannot be intermingled with personal funds…can I buy a vehicle in the name of my business, as if the business owns it and not me? Can the business then let me borrow that vehicle?
What if you get business get sued and you have a sole proprietorship and you have ZERO assets? For example, you have a car note, you live at home with your parents, your on welfare, and you're on disability. What happens if you get sued? I have a clothing business where I sell apparel and I also do affiliate marketing.....
The reason I would like an LLC is because it allows me to get an EIN number which then allows me to get a business bank account and have all business transactions sent there and receive a business line of credit. Or could I just acquire an EIN and still get a business account? Also I have this great business name in mind that is not in use at this time. My fear is that if I wait to long it may be in use at some point. Any tips on this question would be great.

Sorry this never got answered ... yes, you probably already got your LLC by now but if not and you have tour DBA ... yes, you can later go back because you'll file your LLC and get a new EIN anyways
@@kcox2283 No, the sole prop EIN is different from your LLC EIN(That's per my old CPA I had). He told me because the entities are different and the EIN's are to the business. So whatever credit you have on your S/p business, that is retained. When you get your LLC which you'll have an EIN on that, you can apply for business credit based on that and it's separate. an use your other business as collateral and that's from my business research on this. I'm actually planning on getting some business credit on the LLC soon.

@@jimhart I did a name search on USPTO and nothing came up. Although, when I did a name search through the PA.gov website, there was a similar name. It let me complete my next steps in filing and the PA.gov website said it will send a letter to the other business in regards to my filing with a similar name.

I am "managing" limited communications and a relaunch strategy for "when life returns to normal". Without a current partner, I am considering a re-org of sorts which would include separating financially and starting fresh on my own with a new bank account. I live in one state, the company is licensed as an S-corp in another. Help. Should I become a sole proprietor since our income went to zero in 2020 and build the income back up before filing as an LLC? Do I file the business in both states?

I would not like to have my home address on documents as much as I can help it. on a forms such as for the fictitious business name and for the EIN number, would it be best to use a virtual address with a company such as anytime mailbox that does provide a physical street address. since this virtual mailbox with anytime mailbox does provide a physical street address, would that be acceptable to use as the business address instead of my home? My license would only allow jobs up to $1000, so like technically would that be the most someone could sue for(ex. I bid a job for $950, & screw it up. Could they sue for more then that amount? ), or could they go higher??

Can you store the assets of an SP in a business trust to provide the asset protection of an LLC?

W2 income (wages from your day job) are not subject to the self-employment tax, only the $50k from your side business.
