Excellent presentation and very informative of the key steps to success. I enjoyed Jillian presentation she has a practical understanding of the real estate process. She brings the securities law to a lay public. She allows you to deal with complex terms in a simple and understandable way. Her previous background in the loan refinancing gives a unique and master understanding of real estate property.

What are your thoughts on registering an LLC under Rule 504? It seems that Rule 504 has no restrictions on the number of non-accredited investors and allows you to raise up to $5M. The only draw back I see is that Rule 504 does not exempt you from State Blue Sky laws. What are your thoughts on this?
Many states do not allow Rule 504 Offerings. I would only allow a rule 504 offering in very limited circumstances. I would caution against it for most issuers as many states will not even allow a rule 504. It is important to check the state laws where you would conduct your offering prior to considering a Rule 504 offering.
Say you have a Manager LLC and two Property LLCs. Can each of the Property LLCs have 35 non-accredited investors or would they all add together under the Manager LLC? Is the manager LLC just a standard LLC as opposed to the 4 other types of LLCs mentioned?

The investors are against the property LLC, therefore the rule applies to each property because that's were the raise is aligned.
