- When going through potential M&A structures with clients, I often get asked about the difference between PUC and ACB. This video gives a basic explanation of the difference between them.

This video was very helpful. Thank you so much!
Seriously consider creating online courses for students!
You're a great teacher and I learnt more from your videos than I did from my uni prof lol
Hamza... so nice of you to say... I did finally make a new video... which I will be releasing soon. But unfortunately I don't have the time to invest in a whole online course. Maybe I should make a Patreon account, and if there was any interest, could add to the library more regularly. But something tells a Patreon account based on Canadian tax would max out at about 3 people... LOL. But still enjoy making them, and really appreciate the nice comment.
thank you so much for explaining this in plain English. My tax professor kinda bombarded us with so many details that I forgot how everything connected in the big picture.
This videos pretty cool
Brilliant work! Keep it up!
Brilliant. You made it so easy to understand.
Best explanation! Wasted my time taking CPA courses!

You a real one, John! Thanks!
Well done John! Thank you!
super clear, thank you !!!
well explained! thanks
Wish I had come across this video earlier. A bunch of us got our shares redeemed by the corporation a year after we departed. What made it even worse was that the share price has gone down a further 25% from when we left. All of us has incurred capital losses.
Can we use the Allowable Business Investment Loss (ABIL) to claim our losses so that it can be used to offset our other incomes?
You need your own game show or something son
awesome video!
Thanks for the practical issues but what's the logic of having deemed dividends. What's the rationale, why do we need to go through this lengthy calculation when the corporation buy back ?
From what I remember, PUC is the original amount invested for the class of shares meaning that amount is already taxed and as as such should be free of tax when redeemed however, conisderations given are not equal to considerations received and that create benefits for shareholders who receive more than they should in terms of "tax-free money", therefore CRA punishes them and treats the differential as deemed dividend ?
so helpful & thanks!
Hi John, can you talk about rollover?
this was really helpful. Thanks. Just one question though, why would the PUC keep changing so it is equal for everyone? I finally get ACB, but not 100% clear on PUC. Why because it is the same class must it be average for everyone? I see paid up capital as a total amount paid in, why must each person be allocated a portion of this and it keeps changing as more shares of the same class coming in?
Because PUC is attached to the class of share... not the taxpayer.
Thank you!
