You're very welcome Benoit! 1. No, as per Section 605.0212 of the Florida Statutes: "(e) The name, title or capacity, and address of at least one person who has the authority to manage the company." So you only need one. You can list more if you want, but it's not required. 2. You can choose either one you want. Both are acceptable.
It depends on how the LLC is taxed. If it's taxed in it's default status (a Single-Member LLC taxed as a Sole Proprietorship or a Multi-Member LLC taxed as a Partnership), from a state income perspective, the LLC is pass-through, and since there's no personal income tax in Florida, then there's no tax due. However, there could be other taxes due (like payroll for example). It's best to have a conversation with an accountant or two. Hope that helps.

The abbreviation for Member (in a Member-managed LLC) is "AMBR", which stands for Authorized Member. Hey Cristina! If you're dissolving an Florida LLC, you'll need to file Articles of Dissolution with the Division of Corporations. This can be filed by mail (form.sunbiz.org/pdf/cr2e048.pdf) or online (efile.sunbiz.org/dissolveLLC.html). The fee is $25. Since your LLC will have existed for a partial 2018 tax year, you'll still use the EIN when you file a final return next year (tax time 2019). Hi Patricia, in the way that you are thinking about it, yes. However, technically, no. The Articles of Organization places initial information on file with the state and it also creates your Florida LLC. You can amend (change) the Articles of Organization, by filing an "Articles of Amendment to Articles of Organization". However, it's likely not needed in this case. On the other hand, filing an Annual Report doesn't change your Articles of Organization, but it does update the information on the state's records. For example, if you do an LLC search (www.llcuniversity.com/florida-llc/search/), your LLC will reflect the new information submitted via the Annual Report. Hope that helps.

I started to fill out the Amendment form and figured to ask you first. Thank you so much for your content, they are filled with very valuable information.
