Hi, Nina. It's so easy, you don't need a CPA to file it. In fact, if your franchise tax return was due this year 2024, the new law says you only have to file the Public Information Report if you made less than $2.47 million dollars. Hope this helps you 🙏🏼. You can register for an online eSystems account online and file online. It's way easier than the paper method. Hope this helps you. 😊

We don't have to file franchise tax in 2024 anymore unless you meet the 2 million thresh hold. Only gotta do the public information

You would provide the address you receive business mail for Principle Office. You would list yourself as a Director and your address (or the business address).
Beginning with reports due in 2024, taxable entities with annualized total revenue less than or equal to the no tax due. threshold are no longer required to file a No Tax Due Report but must still file a Public/Ownership Information Report. Note that the threshold applies to the annualized total revenue of a combined group, not to the individual members of a combined group. please can u help interpret this, was trying to file my no tax due but it wouldn't let me.

how you would fill out the PIR for a single Member LLC? Would I be a Director? Or Manager?

Texas has too many resources to not have a better system than this. Should just be a simple annual report filing, but no. Typical government overcomplicating everything.

Hi Loma, for those of us that haven't filed income taxes yet (have an extension), where should we get gross income from? Profit/Loss report from our bookeeper? Do we have to have our taxes filed in order to obtain this info?
Hi, Mayra. If you're filing for a past due Franchise Tax Return, you will need the accurate number that would end up on your tax return. If you're not sure, I wouldn't advise guessing. If your bookkeeper has the exact number you know for sure that will go on your final tax return, then you can use that. If you're filing a Franchise Tax Return that is due this year (2024), you only need that information if you reached the $2.47 million threshold. I think Franchise tax are not applicable and this option is not available anymore on webfile and no need to file starting 1/1/2024 if you make less than $2.47 million. Can you please make a video to explain that?

What is the registered agent?
Hi, Rhianna.✨️ The registered agent is the person or company you chose to receive your important mail like if you were ever served court documents. Look at your original documents you filed to set up your LLC with the Texas Secretary of State. It would be there. Just a note, if you need to put a different registered agent than what you put on the original document, you'll need to file a change of registered agent with the TX SOS. Thanks for this video, really informative. but i am confused on some points, and looking for your guidance, 1- The Naics code , which i used at the time of the formation of Disregarded LLC and it is also printed on my Sales and use tax permit, in not available right now, please advise which Naics code should be used? 2- Do i need to show my non USA Residential address anywhere in these reports while doing e-commerce from outside US but having virtual US address..
Great questions! 1 - You're not permanently tied to the original NAICS code you chose, so just look up the next closet code that matches your business. 2 - You can use any address where you can reliably receive mail. I’ve formed LLC on 4th December 2023 in Texas so now on 16th May, I’ve to pay a tax for that in zero income catagory, that’s why I’m getting a reminder rn from Incfile(Bizee) . But the problem is, I don’t have taxpayer number (TIN) so where I can get one ? Btw I’m a non resident.
You do have to file by May 15th every year. There were changes to the law this year. Incfile is only trying to offer you a service to file it for you. It's easy to file yourself. If you didn't make any money, you won't have to pay a tax, but you do have to file the report. I will be posting a new video on the changes and how to file for free soon. I wish I would’ve done more research before getting a sales tax permit. I got it in 2022 and have not paid. Now I’m trying to correct this and it shows I owe thousands. I don’t know what to do and if I’m tied to owing those fees.

UPDATE FOR 2024. Taxable entities with total revenue less than the threshold no longer have to file a quote no tax due report but have to now file a "public/ownership information report". Which is even more simple and straightforward. Wanted to share as I come back to this video once a year. Thank you for making it.

I’m confused on why we mark “No” for the question asking if it’s a passive entity. I thought LLC’s are passive entities, as the profits pass through to the owners personal tax forms. Am I thinking of this the wrong way?
Hi, Christopher 😃 In the case of Texas Franchise Tax, a passive entity is a partnership or trust that earns at least 90% of its income from certain passive sources. Passive entities are exempt from paying Texas franchise tax Here's more info on it and when an LLC qualifies to be a passive entity: comptroller.texas.gov/taxes/franchise/faq/passive-entities.php#:~:text=To%20qualify%20as%20a%20passive,which%20the%20tax%20is%20based. If this is your first time filing, after you set up your Webfile account, go to Assign Taxes/Fees. Choose Sales and Use Tax. Enter your Sales Tax Permit # and the Webfile # the Comptroller mailed to you after you signed up for a permit. You only have to do this once. This will allow you to file your sales tax return according to the filing frequency your account was assigned. I hope this was helpful. 😊

How to check it ??
Did you file on time (April 15th)? Did you pay on time (April 15th)? If yes, you shouldn't owe any penalties or interest. If you answered no to either question, you will owe penalties and interest. The IRS will mail you a bill. Hope this answers your question. 😊

I thought we were filing as a single owner LLC? so why would we file anything or even multiple persons under "officers, Directors, Managers, Members or General Partners" section? you confused me at this point........makes no sense. which place do we put our name in if it is a single entity LLC as you are supposed to be exampling? also it would be nice if you give more explanation under the "Taxpayer" tab. Is our taxpayer number our EIN? What is an SOS or comptroller file number?
A Single-Member LLC can have one owner but also hire people to act in management roles (Director, Manager, CFO, COO, etc...). If it's just you, put your name down in the first officer section and your title (Manager, Director, etc.) and leave the others blank. The Taxpayer number is the number that was assigned to you by the Texas Comptroller after you registered your LLC with the Texas Secretary of State (SOS). You would have received that in the mail on the letter that has your Webfile number. Your SOS Comptroller File number can be found on the Original Document after you filed to register your LLC with the Secretary State of Texas (SOS). Hello My texas LLC was formed in March 2023. I am filling franchise tax. What will be the accounting year in this specific case? Please guide
Based on what you explained about your situation, the date you registered your business as an LLC with the Secretary of State will be your beginning date. December 31, 2023 would be the end. Here's the link where the Comptroller explains this: comptroller.texas.gov/taxes/franchise/faq/

Is there any penalty for filing an extension??
Hey, Zachery. There is not fee or penalty for filing an extension to get you more time to file your taxes. If you think you'll get refund, you don't need to file an extension. The IRS gives you 3 years to file and claim your refund. If you think you'll owe taxes, be sure to make a payment that covers it (over estimate to be on the safe side) no later than April 15 because the extension does not give you extra time to pay. If you end up overpaying, the IRS will refund the difference. If you under pay, the IRS will hit you with a penalty. Hope that helps 🙂
Howdy Do dumpster rental businesses need to get a sales tax?
Hi! At my office, we have a weekly dumpster service that includes rental charges. They do charge us sales taxes, so I would say yes. But it's always good to call and confirm directly with the Comptroller's office (800) 252-5555 before you apply for a permit. They should be able to provide an answer once they clarify your situation. Hope that helps 👍
